中国和尼日利亚外商投资法律制度比较研究

【摘要】: 中尼两国的外商直接投资在本国的经济发展中都占有重要的地位,近年来两国之间的直接投资有较快增长,但两国外商法律制度方面在制度体系和具体制度方面存在着较大的差别。本论文将主要采用比较研究的方法,从立法背景、历史发展、体系、准入制度、管理制度、资本制度、鼓励和保护制度等方面对中尼两国外商投资法律制度进行分析,寻找两者间的共性,探讨两者间的差异性,以对完善中国外商投资法律制度提出建议。全文包括前言和五个章节: 第一章——中尼两国外资立法背景、现状及存在的问题。本章对中尼两国外资立法背景、历史发展阶段、体系及其特点、存在的问题等方面做了对比介绍。中国采用内、外资分别立法模式,以企业形式为标准分别立法,立法权比较分散。尼日利亚则制定了法典化的外资基本法,立法权比较集中。 第二章——中尼两国外商投资准入制度。本章介绍了中尼两国在引进外资投向、外资准入的条件、形式、审批机构、范围、程序等方面的制度情况,探讨了两者间的异同。中国较尼日利亚对外资准入限制较多,审批更严格,程序更复杂。 第三章——中尼两国外商投资管理制度。本章对中尼两国在外国投资者的权利、外商投资企业的权力机构、经营管理机构、资本与外汇管理等外商投资管理制度的共性和差异性做了概要说明。尼日利亚较中国对于外国投资者权利、组织机构、资本与外汇管制规定地相对宽泛。 第四章——中尼两国鼓励和保护外商投资制度。本章就中尼两国在外商投资鼓励措施、优惠制度、保障措施、解决争端等进行了深入探讨。 第五章——完善中国外资立法的建议。本章就完善中国外资立法的必要性和可行性做了分析,并从增加外商投资基本形式、调整税收优惠措施、重构外资准入与审批制度、修订投资保障措施与投资争议解决机制等方面提出了完善中国外资立法的具体建议。 贯穿全文的主题思想是:通过中尼两国外商投资法律制度的比较研究,概括中国外商投资法律制度的不足之处,并以理论和实践分析得出中国外资法律体系需要并且能够重构的结论。通过比较研究,本论文试图弥补法学界在中尼两国外商投资法律制度相关问题比较研究的空白,为推动国别比较法学的进一步发展尽绵薄之力。
[Abstract]:Foreign direct investment (FDI) between China and Nepal plays an important role in the economic development of China and Nepal. In recent years, the direct investment between the two countries has increased rapidly. However, there are great differences between the two countries in terms of foreign legal systems and specific systems. This thesis mainly adopts the comparative research method, from the legislative background, the historical development, the system, the admission system, the management system, the capital system, the encouragement and the protection system and so on aspect carries on the analysis to the Sino-Nepalese foreign investment legal system. In order to perfect the legal system of foreign investment in China, the author tries to find out the commonness and the difference between the two. The full text includes preface and five chapters: the first chapter-China and Nepal two countries foreign investment legislation background, the present situation and the existence question. This chapter compares the legislative background, historical development stage, system and characteristics of foreign investment between China and Nepal. China adopts the internal and foreign legislation model, the enterprise form as the standard legislation, legislative power is scattered. Nigeria has enacted a basic law on foreign investment, with concentrated legislative power. Chapter two-admission system of Foreign Investment between China and Nepal. This chapter introduces the institutional situation of China and Nepal in introducing foreign investment, the conditions, forms, examination and approval agencies, scope, procedures and so on, and discusses the similarities and differences between the two countries. China has more restrictions on foreign investment access, stricter approvals and more complex procedures than Nigeria. Chapter III-Management system of Foreign Investment between China and Nepal. This chapter gives an overview of the similarities and differences of the foreign investment management systems between China and Nepal, such as the rights of foreign investors in China and Nepal, the power organs of foreign-invested enterprises, the management agencies, the capital and foreign exchange management. Nigeria has broader rules on foreign investor rights, institutions, capital and foreign exchange controls than China. Chapter IV-China and Nepal encourage and protect the system of foreign investment. This chapter discusses the incentive measures, preferential system, safeguard measures and dispute settlement of foreign investment between China and Nepal. Chapter five-suggestions on perfecting China's Foreign Investment legislation. This chapter analyzes the necessity and feasibility of perfecting the legislation on foreign investment in China, and reconstructs the admission and approval system of foreign investment by increasing the basic forms of foreign investment, adjusting the preferential tax measures, and reconstructing the system of entry and approval of foreign capital. Some suggestions on how to perfect China's foreign investment legislation are put forward in the aspects of revising investment guarantee measures and investment dispute resolution mechanism. The main ideas throughout the full text are: through the comparative study of the legal system of foreign investment between China and Nepal, the shortcomings of the legal system of foreign investment in China are summarized. The conclusion that China's foreign investment legal system needs and can be reconstructed is concluded by theoretical and practical analysis. Through comparative study, this paper tries to make up for the gap in the comparative study of the legal system of foreign investment in China and Nepal, and to promote the further development of the comparative law of the country.
