我国企业法律风险管理问题与对策研究

【摘要】：在激烈的市场竞争中,企业面临着双重风险,既有商业风险,又有法律风险。相比较于商业风险,法律风险具有可防控性。作为市场经济主体的企业,要守法经营、持续健康发展必须加强对法律风险的防范和控制。对于法律风险进行识别、评估、控制从而全面管理法律风险,是企业管理的重要课题,也是企业持续经营、稳定发展的重要保障。本文以我国企业法律风险防范与控制为研究对象,通过对企业法律风险管理现状的介绍,主要针对企业面临的重要法律风险进行实务分析,找出目前我国企业法律风险管理面临的问题,运用MBA学习阶段所学到的企业管理理论,结合企业法律风险管理的发展趋势进行思考,提出了相应的对策与思路。本文从风险的定义入手,介绍了企业法律风险管理定义特征,进而分析企业对法律风险进行防范的价值所在,结合实际情况重点对公司设立、经营、并购、终止与清算、知识产权、劳动用工管理方面的法律风险进行分析,提出避免损失的解决方案。针对目前存在的企业法律风险管理问题,为充分发挥管理效能,使法律事务管理与企业经营管理的整体效用发挥最大,本文提出解决问题的对策,即用管理的方法解决法律问题。总体思路为构建法律风险管理体系,具体包括形成规范的风险管理基本流程、建立健全的风险管理组织体系、培养良好的风险管理文化以及建设先进的风险管理信息系统。通过本文的研究,笔者对企业法律风险管理提出了对策和建议,既有方向性的思路也有具体措施,希望能够为企业构建法律风险管理体系,在实践中真正运用法律风险管理流程进行规范化管理,提升企业管理水平、提升企业抗风险能力提供参考和借鉴。
[Abstract]:In the fierce market competition, enterprises are faced with dual risks, both commercial risks and legal risks. Compared with commercial risks, legal risks are preventable and controllable. As the main body of market economy, enterprises must strengthen the prevention and control of legal risks if they want to abide by the law and develop healthily. To identify, evaluate and control the legal risk is an important subject in the enterprise management, and also an important guarantee for the continuous operation and stable development of the enterprise. This paper takes the legal risk prevention and control of Chinese enterprises as the research object, through the introduction of the present situation of the enterprise legal risk management, mainly carries on the practical analysis to the important legal risk faced by the enterprise. This paper finds out the problems faced by the legal risk management of enterprises in our country at present, applies the theory of enterprise management learned in the study stage of MBA, and thinks about the development trend of the legal risk management of enterprises, and puts forward the corresponding countermeasures and ideas. Starting with the definition of risk, this paper introduces the characteristics of the definition of enterprise legal risk management, and then analyzes the value of preventing the legal risk, combining with the actual situation, focuses on the establishment, management, merger and acquisition, termination and liquidation of the company. The legal risk of intellectual property and labor management is analyzed, and the solution to avoid loss is put forward. In view of the existing problems of legal risk management in enterprises, in order to give full play to the efficiency of management and to maximize the overall effectiveness of legal affairs management and enterprise management, this paper puts forward some countermeasures to solve the problems. That is, the method of management to solve legal problems. The overall idea is to build a legal risk management system, including the formation of a standardized risk management basic process, the establishment of a sound risk management organization system, the cultivation of a good risk management culture and the construction of advanced risk management information system. Through the study of this paper, the author puts forward the countermeasures and suggestions for the legal risk management of enterprises, which has both directional and specific measures, hoping to build a legal risk management system for enterprises. In practice, the legal risk management process is used to standardize the management, to improve the level of enterprise management, and to improve the ability of the enterprise to resist risks to provide reference and reference.
