【摘要】：隐名出资在当今社会比较常见,涉及公司法、合同法、行政法等诸多法律领域。一方面,隐名出资是传统、常见的法律现象;另一方面,我国对隐名出资的法律规制不够完善,有必要研究解决途径。 本文根据作者的律师实务经验,采用归纳方法,对当今社会隐名出资的形态、成因、特征等进行了总结,并在此基础上对相关法律法规进行整理,分析其立法原则和宗旨。研究一个法律现象,我们应当透过现象看本质,从复杂多样的现象中,抽象出其本质内容。本文对各种常见隐名出资行为所蕴含的法律关系进行了逐一剖析,提炼出法律关系的本质内容。 有限责任公司是经济领域最常见的民事主体,也是隐名出资的渊薮。因此,本文主要以有限责任公司中的隐名出资为研究对象。有限责任公司具有资合兼人合的特征,而人合性对于有限公司的良好运作具有更加重要的意义。本文从这个角度出发,对隐名出资行为与公司人合性的冲突进行了研究。应当说,现行的公司法律制度以登记制度为规范公司行为的核心,对隐名出资行为是不鼓励的。本文对隐名出资与公司登记制度的冲突进行了分析研究,提出了隐名出资纠纷的处理原则。在此基础上,本文依据公司法、合同法的基本原理,采用演绎推理的方法,对几种常见的隐名出资纠纷的基本特征进行了分析,并尝试提出进行法律规制的基本方案。 作者在本文的撰写过程中坚持独立思考和分析论证,所提出的观点有一定的创新性。
[Abstract]:Dormant investment is quite common in today's society, involving many legal fields, such as company law, contract law, administrative law and so on. On the one hand, anonymous investment is a common legal phenomenon. On the other hand, China's legal regulation on dormant contribution is not perfect enough, so it is necessary to study and solve the problem.
According to the practice experience of the authors, the inductive method and the causes of today's society, dormant form, characteristics were summarized, and based on the relevant laws and regulations, analyzes the legislative principles and purposes of a legal phenomenon, we should see the essence through the phenomenon, from the complex the phenomenon, abstracted the essential content of the legal relationship. This paper analyzes one by one which contains a variety of common dormant investment, refines the legal relationship.
The limited liability company is one of the most common civil subject in the economic area and is also a dormant investment. Therefore, this article mainly to the anonymous contribution of limited liability companies as the research object. The limited liability company has capital combination, and he has more important significance for the good operation of limited company. This article from the view on dormant investment behavior and the conflict of company of the studied. It should be said that the current legal system of company registration system as the core to regulate corporate behavior, the dormant investment behavior is not encouraged. The conflict of anonymous contribution and company registration system were analyzed, proposed treatment the principle of dormant investment disputes. On this basis, according to the company law, the basic principle of contract law, using deductive reasoning method, the basic characteristics of several kinds of dormant investment disputes The analysis is carried out and the basic plan for legal regulation is put forward.
In the process of writing this article, the author insists on independent thinking and analysis and argumentation, and the point of view is innovative.
