【摘要】：我国新《公司法》的一个重大突破就是赋予“一人有限责任公司”合法地位,从而使中国对一人公司的研究也从理论开始走向实践。随着一人公司在中国存在的法律障碍的扫除,我们相信这种具有强大经济活力的公司形式在中国经济生活中一定会得到飞速的发展。但是,一人公司具有严格的封闭性,缺乏普通有限责任公司的人合性。容易出现,一人公司的股东滥用公司独立法人格和股东有限责任,侵害公司债权人的利益。公司法人人格否认制度是对公司有限责任这一传统观念的现代修正。正如在特定情况下否认公司独立人格是对股东有限责任“特权”的限制一样,该制度本身也需要通过设立一定的准则加以约束。通过对公司人格否认制度的分析,探讨适用该制度的若干限制以及一人公司在何种情况下可以否认法人人格,防止股东滥用公司独立人格侵害债权人利益,从而维护债权人的合法权益,是目前需要解决的问题。本文共分为五个部分,采用历史和法解释学的研究方法着重论述了法人人格否认对一人公司规制的特殊性;适用法人人格否认规制一人公司的依据、要件情形等;法人人格否认规制对一人公司的影响;以及如何防止滥用公司人格否认制度侵害股东利益。
