民主管理公司——欧盟职工参加公司机关制度的立法过程

【摘要】：正 职工参加公司机关制度就是一种由公司法规定的、职工利益代表与股东利益代表一道参加公司决策机关、共同介入公司决策程序、影响公司决策结果的公司民主管理制度。职工参加公司机关制度既是现代经济民主和公司民主的发展趋势之一,也是我国社会主义市场经济的应有之义。我国《公司法》也有此类规定(如职工董事制度、职工监事制度),但尚不完善。
[Abstract]:It is stipulated by the company law that the regular employees participate in the corporate organ system. The representatives of the workers' interests and the shareholders' interests participate in the decision-making organs of the company together and intervene in the decision-making procedure of the company jointly. It is one of the development trends of modern economic democracy and corporate democracy that the employees participate in the corporate organ system. The Company Law of our country also has this kind of stipulation (such as the staff director system, the staff supervisor system, but not perfect).
