二板证券市场与《公司法》的修改──兼论《证券法》信息披露瑕疵的民事赔偿责任

【摘要】：在中国开设二板市场可以为中小高科技企业融　资开辟渠道，有效地促进民营企业的健康发展。与主板市场相对应的二板市场具有自己独特　的　个性，因此，有必要对《公司法》、《证券法》的相关规定进行修改。二板市场以信息披露　为本，，应进一步完善对信息披露瑕疵的民事赔偿责任的构建。
[Abstract]:The opening of the second board market in China can open up channels for the financing of small and medium-sized high-tech enterprises and effectively promote the healthy development of private enterprises. The second board market corresponding to the main board market has its own unique personality. It is necessary to amend the relevant provisions of Company Law and Securities Law. The second board market is based on information disclosure, and the construction of civil liability for defective information disclosure should be further improved.
