论公司自治的限度

【摘要】: 公司是现代市场经济中最重要的主体,是与人们息息相关的社会组织。充分享有自治权是公司得以生存和发展的动力和源泉。2005年公司法(以下统称新《公司法》)的出台,赋予了公司自治更广阔的空间。但是,由于公司是社会中的一员,公司的经营行为和经营决策对其利益相关者产生着重大影响,如果任其恣意行使自治权,将对其他利益主体的权益造成损害。因此,公司自治必须具有一定的限度。然而,长期以来,人们对公司自治限度的研究成果仅仅局限在公司自治与国家干预的范畴之内,从其他角度的研究比较少,公司自治限度的研究没有形成一个系统的理论体系。理论上的缺失制约了实践中公司治理结构的完善和公司自治权的充分行使。因此对公司自治限度问题进行理论研究对我国公司制度的完善有着非常重大的意义。 鉴于此,本文拟从公司自治限度的基本理论入手,透析其理论基础。通过对我国公司自治限度现状的分析,揭示出其存在的不足和缺陷。最后从我国的实际出发,提出我国公司自治限度的实现途径。文章主要分为四个部分: 第一部分公司自治限度的基本理论。首先界定了公司自治以及公司自治限度的内涵;在肯定公司自治基础性地位的前提下,提出必须对公司自治进行一定的限制,并且通过公司自治与股东、消费者、劳动者、环境保护等各方利益关系的博弈得出了公司自治限度的合理性标准。最后详述了公司自治限度提高效率、保障公平、实现和谐、形成企业文化的现实意义。 第二部分公司自治限度的理论基础。本章从国家干预理论、公司社会责任理论、保护利益相关者理论等多个层面对公司自治限度存在的合理性与必要性进行了阐释与论证。 第三部分我国公司自治限度的现状及存在的问题。首先对我国公司自治的现状进行了立法上的考察,在此基础上,提出了公司自治限度在股东诉权、公司人格否认、监督机制、社会责任、信息公开、公司文化、行业自律方面的不足。 第四部分公司自治限度的实现途径。首先介绍了内部限度的完善,包括公司内部义务体系的构建、公司人格否认制度的完善、监督机制的完善和股东派生诉讼制度的完善。接着从公司文化的构建、信息公开制度的完善、企业社会责任的实现及行业自律机制的完善几个方面详述了公司自治限度的实现途径。
[Abstract]:The company is the most important subject in the modern market economy, and it is the social organization closely related to people. The full enjoyment of autonomy is the motive force and source for the company to survive and develop. In 2005, the Company Law (hereinafter referred to as the New Company Law) came into being. However, since the company is a member of society, the company's business behavior and decisions have a significant impact on its stakeholders, if they are allowed to exercise their autonomy wantonly, Therefore, corporate autonomy must have certain limits. However, for a long time, the research on the limits of corporate autonomy has only been confined to the scope of corporate autonomy and state intervention. There is less research from other angles. The research on the limits of corporate autonomy has not formed a systematic theoretical system. The lack of theory restricts the perfection of corporate governance structure and the full exercise of corporate autonomy in practice. The research is of great significance to the perfection of the company system in our country. In view of this, this paper intends to start with the basic theory of the limits of corporate autonomy, analyze its theoretical basis. Through the analysis of the present situation of the limits of corporate autonomy in China, it reveals its shortcomings and defects. Finally, it starts from the reality of our country. The article is divided into four parts:. The first part is the basic theory of the limits of corporate autonomy. Firstly, it defines the connotation of corporate autonomy and the limits of corporate autonomy, and on the premise of affirming the basic status of corporate autonomy, it puts forward some restrictions on corporate autonomy. And through the game between corporate autonomy and the interests of shareholders, consumers, laborers, environmental protection and other parties, the reasonable standard of the limit of corporate autonomy is obtained. Finally, the limit of corporate autonomy is described in detail to improve efficiency, ensure fairness, and achieve harmony. The realistic significance of forming enterprise culture. The second part is the theoretical basis of the limits of corporate autonomy. This chapter explains and demonstrates the rationality and necessity of the limits of corporate autonomy from the aspects of the theory of state intervention, the theory of corporate social responsibility and the theory of protecting stakeholders. The third part is about the current situation and existing problems of the limitation of corporate autonomy in our country. Firstly, it makes a legislative investigation on the present situation of corporate autonomy in our country. On this basis, it puts forward the limitation of corporate autonomy in the shareholder's right of action and the denial of corporate personality. Supervision mechanism, social responsibility, information disclosure, corporate culture, industry self-discipline deficiencies. 4th the ways to realize the limits of corporate autonomy. Firstly, it introduces the perfection of the internal limits, including the construction of the internal obligation system of the company, the perfection of the system of disavowal of corporate personality. The perfection of supervision mechanism and shareholder derivative litigation system. Then, from the construction of company culture, the perfection of information disclosure system, The realization of corporate social responsibility and the perfection of industry self-discipline mechanism are described in detail.
