【摘要】：正一、股权是股东对股份享有的所有权在西方国家,公司产权始终明晰。也许是这个原因,西方学者对股权性质的研究并不特别热心和重视,而是把研究的注意力放到股权的实际运作上。反观我国,国有企业产权不明晰,改革10多年来,怎样处理国家与国有企业的关系,如何搞活国有企业,迄今仍是未解的难题。找寻国有企业改革的路径成为上上下下的历史使命。股权性质问题正是在这种背景下成为我国学者们探讨的焦点。因为对股权如何定性不仅直接关系到如何重塑国家与企业的产权关系,而且还直接关系到公有制条件下的传统企业制度能否真正迈向现代企业制度的大问题。股东的权利又简称股东权或股权,各国公司法规定的股权内容概括起来主要包括两类;一
[Abstract]:First, equity is the ownership of shares by shareholders in western countries, and the property rights of companies are always clear. Perhaps for this reason, Western scholars do not pay particular attention to the study of the nature of equity. On the other hand, in our country, the property rights of state-owned enterprises are not clear. In the past 10 years or so of reform, how to handle the relationship between the state and the state-owned enterprises, and how to invigorate the state-owned enterprises, So far, it is still a difficult problem to solve. Finding the path of SOE reform has become the historical mission of top and bottom. It is in this context that the nature of equity has become the focus of Chinese scholars. It is only directly related to how to reshape the property right relationship between the state and the enterprise. It is also directly related to whether the traditional enterprise system under the condition of public ownership can really move towards the modern enterprise system. The rights of shareholders are also referred to as the rights of shareholders or equity.
