股东违反出资义务违法形态与民事责任探究

【摘要】：股东违反出资义务 ,其违法形态复杂且呈多样 ,公司法对此不应漠视 ;股东违反出资义务 ,其民事责任与归责原则如何设计本属公司法领域中的问题 ,应由公司法作出明确规定 ;我国现行《公司法》在有关条款中虽提及股东出资义务及民事责任 ,但规定尚嫌简略 ,制度安排存在缺失现象 ;要重构较为完善的民事责任体系有必要从理论上对股东违反出资义务之违法形态以及民事责任形式作展开性的分析。
[Abstract]:Shareholders who violate the obligation of capital contribution, its illegal forms are complex and diverse, the company law should not ignore this, shareholders violate the obligation of capital contribution, how to design the principle of civil liability and liability in the field of corporate law, The current Company Law of our country refers to the obligation of shareholders' capital contribution and civil liability in the relevant articles, but the provisions are still brief, and the institutional arrangements are lacking. In order to reconstruct the perfect civil liability system, it is necessary to analyze theoretically the illegal form of shareholders' violating the obligation of capital contribution and the form of civil liability.
