【摘要】：公司章程是公司据以成立、运作和终止的重要法律文件,也是对公司、股东、董事、监事、高级管理人员具有约束力的重要法律文件。公司章程的自治性及其必要性决定了章程在公司事务中的重要作用。但公司章程自治存在缺陷,必须接受法律规范的强制性指导。同时提高公司股东对公司章程重要性的充分认识,更好地发挥公司章程的自治性应有作用,保护自己的合法权益。本文共分四个部分。第一部分论述了公司章程的内涵、性质与公司章程与股东资格确认之间的关系三部分内容。首先通过对两大法系对公司章程内涵的不同理解以及通过分析学者们对公司章程性质的不同认识,明确了公司章程在公司的重要地位,总结出“自治”是公司章程的重要特点。其次论述了公司章程与股东资格确认之间的关系,公司章程股东资格确认的重要标志,但不是唯一的标志。第二部分在第一章的基础上,从公司章程自治是私法自治在公司法上的体现,公司章程自治是公司自治的主要载体,公司契约理论三个层面阐释了公司章程的自治的内涵。在论述公司章程自治与股东自治的关系的基础上,进一步说明公司章程自治的重要价值。第三部分是从公司章程自治的缺陷及其成因角度入手,否定了章程完全自治理论,阐述公司章程自治的缺陷导致大股东控制小股权利,小股东权利的丧失,进而会对社会市场经济造成的严重影响。第四部分是本文的最后一部分内容,阐述如何完善公司章程的自治性,界定公司章程自治的边界,分析说明章程自治与国家强制之间的辩证关系以及公司章程对小股东权利的特殊保留。提高小股东利用公司章程维护自己的合法权利的意识。
[Abstract]:The articles of association of the company are the important legal documents on which the company is founded, operated and terminated, and it is also an important legal document for the company, its shareholders, its directors and its supervisors, The autonomy of the articles of association and its necessity determine the important role of the articles of association in the affairs of the company. At the same time, the shareholders of the company should be fully aware of the importance of the articles of association, and the autonomy of the articles of association should be brought into play, and their legitimate rights and interests should be protected. This paper is divided into four parts. The first part discusses the connotation of the articles of association, First of all, through the different understanding of the connotation of the articles of association between the two legal systems and the different understanding of the nature of the articles of association of the scholars through the analysis of the different understanding of the nature of the articles of association. This paper clarifies the important position of the articles of association in the company, and concludes that "autonomy" is the important characteristic of the articles of association. Secondly, it discusses the relationship between the articles of association and the confirmation of shareholders' qualifications, and the important symbol of the confirmation of shareholders' qualifications of the articles of association. But it's not the only sign. The second part is based on the first chapter, from the corporate charter autonomy is the embodiment of private law autonomy in the company law, corporate charter autonomy is the main carrier of corporate autonomy. On the basis of discussing the relationship between the autonomy of the articles of association and the autonomy of the shareholders, the important value of the autonomy of the articles of association of the company is further explained. The third part starts with the defects and causes of the autonomy of the articles of association, negates the theory of complete autonomy of the articles of association, and expounds that the defects of the autonomy of the articles of association lead to the loss of the rights of the minority shareholders and the controlling rights of the large shareholders. In turn, it will have a serious impact on the social market economy. The 4th part is the last part of this paper, which expounds how to perfect the autonomy of the articles of association and define the boundaries of the autonomy of the articles of association. The dialectical relationship between constitution autonomy and state compulsion and the special reservation of company charter to minority shareholders' rights are explained. The consciousness of minority shareholders to protect their legal rights by using the articles of association is improved.
