跨国公司全球化治理模式探究

【摘要】：经济全球化的发展,使建立在全球基础上的跨国公司在全球经济、社会中扮演日趋重要的角色。公司内部治理和外部监管虽一直是各国公司法规制重点,并颇有成就,但跨国公司却因其管辖权的冲突、"集团决策"对成员公司法律地位的冲击、"富集"效应和跨国性带来的社会责任等特殊性而给其有效治理带来难题。为此,对跨国公司的治理需要走出企业—国家的二元结构模式而引入市民社会(压力集团)、国际组织、非政府组织等多元力量,形成多主体、多层次的全球治理模式,完善跨国公司的治理,以抵制跨国公司发展的负效应。
[Abstract]:With the development of economic globalization, transnational corporations based on the global foundation play an increasingly important role in the global economy and society. However, due to the conflicts of jurisdiction, the impact of "group decision making" on the legal status of member companies, the particularity of "enrichment" effect and the social responsibility brought about by transnational nature, multinational corporations have brought problems to their effective governance. The governance of transnational corporations needs to go out of the dual structure of enterprise and state and introduce civil society (pressure groups, international organizations, non-governmental organizations, etc.) to form a multi-subject and multi-level global governance model. Improve the governance of transnational corporations to resist the negative effects of the development of transnational corporations.
