修订后《公司法》适用中的疑难问题与解决路径——江苏省法院系统公司法疑难案例研讨会综述

【摘要】：正修订后的《公司法》(以下简称新《公司法》)自2006年1月1日起施行。当前,对有关疑难争议案例进行类型化研究探讨,在现有的法律框架内给出可行的解决方案,统一执法理念与尺度,在新《公司法》制度框架要求法院更新审理公司诉讼案件理念的今天尤为迫切和必要。为此,江苏省高级人民法院民二庭征集、整理了大量新《公司法》实施以来的公司诉讼案例,于2006年12月6-8日在江苏省靖江市召开了江苏省法院系统公司法疑难案例研讨会,对案例中所反映的新《公司法》施行后公司纠纷案件审理中遇到的较为突出和集中的几类问题进行了研究和讨论,现将研讨会上的主要观点综述如下,以求教于学界和实务界同行,共同促进公司法立法与司法的良性互动发展。
[Abstract]:The revised Company Law (hereinafter referred to as "New Company Law") has been in effect since January 1, 2006. At present, we have made a study on the types of cases related to difficult and difficult disputes, and put forward feasible solutions within the existing legal framework. It is particularly urgent and necessary to unify the concept and yardstick of law enforcement in the new "Company Law" system, which requires the court to update the concept of handling corporate litigation cases. Therefore, the second Chamber of the Jiangsu Provincial higher people's Court has been called up for this purpose. After sorting out a large number of corporate litigation cases since the implementation of the new Company Law, a seminar was held in Jingjiang City, Jiangsu Province, from December 6 to 8, 2006, on the difficult cases of the company law of the court system in Jiangsu Province. This paper studies and discusses some outstanding and concentrated problems in the trial of company dispute cases after the implementation of the New Company Law, and summarizes the main viewpoints of the seminar as follows. To seek advice from the academic and practical colleagues, jointly promote the development of corporate law legislation and judicial benign interaction.
