以专利使用权向公司出资问题的法律分析

【摘要】：按照我国《公司法》规定,投资人可以以专利权出资,但是未明确是否可以以专利使用权出资。从我国公司立法变革呈现出来的对以专利权向公司出资的具体要求的变化,对现行《公司法》第28条有关出资方式的规定宜作宽泛的理解,即允许以专利使用权向公司出资。从现行公司立法看,以专利使用权出资并不必然会违反公司资本维持原则和侵害公司债权人的合法利益。为了更好地维持公司资本,今后宜在我国立法中明确仅能以独占实施许可的方式以专利使用权向公司出资。
[Abstract]:According to the provisions of the company law of China, the investor can invest by patent right, but it is not clear whether it can be invested with the right to use the patent. From the change of the specific requirements of the patent right to the company from the change of the legislative change of the company's legislation in our country, we should make a broad understanding of the provisions of the current "Company Law > twenty-eighth" on the way of investment. From the current company legislation, it is not bound to violate the company capital maintenance principle and infringe the legitimate interests of the company's creditors from the current company legislation. In order to better maintain the company's capital, it is advisable to make the patent use right to the company in the way of the exclusive implementation license in the future of our legislation.
