论西方现代企业理论对公司法的影响

【摘要】：西方现代企业理论对现代公司法理论构建和制度建设产生了深远影响。通过对现代企业理论中不完全契约理论和产权理论观点的梳理,探究公司法理论和制度对于现代企业理论的回应,以现代企业理论—公司法理论—公司法制度为路径展开研究。研究表明不完全契约理论直接导致了公司契约理论的产生,在公司法制度方面体现为缺省性规范和授权性规范的大量存在以及在公司治理中强调以信息披露为中心的市场机制。而公司法中的委托-代理理论、利益相关者理论及其制度构建也受到了现代企业理论的影响。
[Abstract]:The western modern enterprise theory has exerted a profound influence on the construction of modern company law theory and system. By combing the views of incomplete contract theory and property right theory in modern enterprise theory, this paper probes into the response of company law theory and system to modern enterprise theory, and takes the modern enterprise theory, company law theory and company law system as the path. The research shows that the incomplete contract theory directly leads to the emergence of the corporate contract theory. In the company law system, there are a large number of default norms and authorized norms, and the market mechanism with information disclosure as the center is emphasized in corporate governance. The principal-agent theory, stakeholder theory and its system construction in company law are also influenced by modern enterprise theory.
