【摘要】：对于控制股份的出让而对公司及其股东，尤其是少数股东所带来的影响已引起世界各国的普遍关注。现有的经验表明，法律和法规在处理控制权出售问题上，明显地体现出有利于公司少数股东和有利于机会均等等规则的倾向。我国《公司法》对控制股转移未作规定，而大股东对小股东义务承担义务之规定也付之如阙，因此，在欠缺少数股东法律保护机制的条件下，有必要从更为广泛的意义上探究控制股转让问题，并对其作出必要的限制
[Abstract]:The influence of controlling the transfer of shares on the company and its shareholders, especially the minority shareholders, has aroused widespread concern all over the world. The existing experience shows that laws and regulations in dealing with the issue of the sale of control rights obviously reflect a tendency to benefit the minority shareholders of the company and the rules such as equality of opportunity. The Company Law of our country does not provide for the transfer of control shares, and the provisions on the obligation of large shareholders to minority shareholders are also lacking. Therefore, in the absence of a legal protection mechanism for minority shareholders, There is a need to explore the issue of the transfer of the Control Unit in a broader context and to impose the necessary restrictions on it
