信用视角下我国公司资本制度的改革

【摘要】：2014年3月1日,新公司法正式实施,将公司资本制改革纳入法律之中,意味着我国公司资本制度的重大立法修正。本文以公司资本制度的改革为背景,从信用视角分析2013年《公司法》中关于公司资本制度的修改,探索新形势下公司信用如何全面的维护,以2013年《公司法》中公司资本制度的修改为研究的主要内容,阐述改革后的资本制度如何实现和维护公司信用,保障公司、股东和债权人的利益。公司的信用对公司的交易相对人、公司自身的利益、整个社会的市场交易乃至社会经济的发展都有着重要的影响。所以,重视我国公司信用的相关法律制度也是具有重要的理论和实践意义的。与此同时,作为公司法支撑作用而存在的公司资本制度,既为现代公司人格的独立奠定了一定的基础,同时为公司信用制度的确立奠定了一定的基石,所以公司资本制度的修改对公司的发展具有重要的意义。本文共分为四个部分。第一部分是导言。本部分主要有两方面的内容:本文的研究背景和研究意义、本文的研究方法与内容。第二部分是公司资本的信用价值的阐述。本部分是全文的理论基础,给全文做理论上的铺垫。通过对公司资本的信用功能的分析,来阐明文章的理论视角。第三部分是我国公司资本制度的改革。本部分介绍了此次公司资本制度改革的具体内容和笔者对此次改革内容的评析。第四部分是公司资本制度改革后公司信用的维护。本部分介绍了公司资本制度改革后,公司信用该如何维护、如何保障债权人的利益。笔者认为应当通过出资配套规则的完善、企业信息公示制度的完善、建立完善交易主体的信用体系、强化公司高级管理人员的守信义务以及“法人人格否认”制度的具体化来实现公司信用的维护和对债权人利益的保护。
[Abstract]:On March 1, 2014, the new company law was put into effect, bringing the reform of company capital system into the law, which means the major legislative amendment of our country's company capital system. Based on the reform of corporate capital system, this paper analyzes the revision of corporate capital system in the Company Law of 2013 from the perspective of credit, and explores how to maintain corporate credit in a comprehensive way under the new situation. Taking the modification of company capital system in Company Law in 2013 as the main content of the study, this paper expounds how the reformed capital system can realize and maintain the company credit and protect the interests of the company, the shareholders and the creditors. The credit of the company has an important influence on the relative person of the company's transaction, the interests of the company itself, the market transaction of the whole society and the development of the social economy. Therefore, it is of great theoretical and practical significance to attach importance to the relevant legal system of corporate credit in China. At the same time, the company capital system, which exists as the supporting function of company law, not only lays a certain foundation for the independence of modern corporate personality, but also lays a certain foundation for the establishment of corporate credit system. So the modification of the company's capital system is of great significance to the development of the company. This paper is divided into four parts. The first part is the introduction. There are two main contents in this part: the research background and significance of this paper, the research methods and contents of this paper. The second part is about the credit value of company capital. This part is the theoretical basis of the full text, to do a theoretical cushion. Through the analysis of the credit function of corporate capital, this paper clarifies the theoretical perspective of the article. The third part is the reform of Chinese company capital system. This part introduces the specific content of the reform of the company's capital system and the author's comments on the reform. The fourth part is the maintenance of corporate credit after the reform of corporate capital system. This part introduces how to maintain corporate credit and how to protect the interests of creditors after the reform of corporate capital system. The author believes that the credit system of the transaction subject should be established through the perfection of the matching rules of capital contribution and the perfection of the information publicity system of the enterprise. We should strengthen the duty of the senior managers of the company and the concretization of the system of "denial of the personality of legal person" to protect the credit of the company and the interests of the creditors.
