论企业法人吊销营业执照及其诉讼主体资格

【摘要】：目前我国企业法人吊销营业执照后诉讼主体资格的确定缺乏清晰、统一的法律依据,《民法》与《民事诉讼法》、《公司法》、《公司登记管理条例》等法律间矛盾突出,企业吊销营业执照后在《民法》上没有主体资格,但在《民事诉讼法》上有主体资格,其他相关部门法也都承认其主体资格,同一个体的民事主体资格与民事诉讼主体资格却不统一,本论文针对这一情况,研究分析了我国现行法律以及国际相关法律中对民事主体与民事诉讼主体规定所采取的有限分离主义或两主体不统一的现状及其历史渊源,具体分析我国民事诉讼主体制度自身等方面存在的问题,提出民事主体与民事诉讼主体应当保持统一,应当尽快制定统一民法典的观点。企业法人作为一类重要的民事主体,吊销营业执照对企业法人民事主体资格与民事诉讼主体资格会产生怎样的影响和应该产生怎样的影响?本文结合营业执照相关法律规定,研究分析其性质和功能,从五个方面对企业吊销营业执照的原因进行列举和分析,并对司法实践中较普遍存在的两种情况(企业被吊销营业执照和被注销)运用归纳法和演绎法做了重点比较和详细的阐述和讨论。提出法律应当明确规定企业民事主体资格和经营资格取得丧失的标准,营业执照应当是企业法人经营资格的表征,丧失营业执照并不直接使企业失去民事主体资格。第四部分就企业清算债权债务中诉讼主体的确定问题,从清算前、清算中和清算后企业法人性质的变化与诉讼主体确定关系角度,对企业法人民事主体资格、诉讼主体资格分析总结,提出了丧失营业执照的企业法人有效参与相关诉讼的几方面措施和解决办法。文章最后对我国吊销营业执照相关制度方面提出了两点建议。
[Abstract]:At present, there is a lack of clear and unified legal basis for the determination of the qualification of the subject of litigation after the revocation of the business license of the enterprise legal person in our country. The contradiction between the Civil Law and the Civil procedure Law, the regulations on the Administration of Company Registration, and so on is prominent. After the business license of an enterprise is revoked, there is no subject qualification in the Civil Law, but there is a subject qualification in the Civil procedure Law, and other relevant departmental laws also recognize the subject qualification. The civil subject qualification of the same individual is not unified with the civil litigation subject qualification. This paper studies and analyzes the current situation and historical origin of the limited separatism or disunity between the civil subject and the civil litigation subject adopted in the current law of our country and the relevant international laws. This paper analyzes on the problems existing in the system of the subject of civil action in China, and puts forward the point of view that the civil subject and the subject of civil action should be unified and that the unified civil code should be formulated as soon as possible. As a kind of important civil subject, what kind of influence and what kind of influence should the revocation of business license have on the qualification of civil subject of enterprise legal person and the qualification of civil litigation subject? Combined with the relevant laws and regulations of business license, this paper studies and analyzes its nature and function, and enumerates and analyzes the reasons of business license revocation from five aspects. In addition, the author compares and discusses the two common situations (business license revocation and cancellation) by inductive and deductive methods in judicial practice. It is pointed out that the law should clearly stipulate the criteria for the loss of the civil subject qualification and the business qualification of the enterprise, and the business license shall be the representation of the business qualification of the enterprise as a legal person, and the loss of the business license does not directly cause the enterprise to lose the civil subject qualification. In the fourth part, from the angle of the relationship between the change of the nature of the enterprise legal person before liquidation, liquidation and after liquidation and the determination of the litigation subject, the civil subject qualification of the enterprise legal person is discussed in terms of the determination of the subject of litigation in the liquidation of the creditor's rights and liabilities of the enterprise. This paper analyzes and summarizes the qualification of litigation subject, and puts forward several measures and solutions for the enterprise legal person who has lost his business license to participate in the relevant litigation effectively. At the end of the article, two suggestions are put forward on the related system of revocation of business license in China.
