公司自律机制的演进分析——基于新旧公司法中资本制度的比较

【摘要】：资本制度作为公司的灵魂,在公司的运转过程中扮演着重要的角色,而且新公司法也对此作出了重大修订。本文从资本制度的角度,分析、比较了新旧公司法的变动情况,发现公司法的发展趋势是松绑,且从历史与竞争范围、公司法的基本原则及次优选择理论三个方面,分析公司法朝松绑趋势修改的原因。
[Abstract]:As the soul of the company, the capital system plays an important role in the operation of the company. From the angle of capital system, this paper analyzes and compares the changes of new and old company law, and finds that the development trend of company law is liberating, and from three aspects of history and competition scope, the basic principle of company law and the theory of sub-optimal choice, This paper analyzes the reasons for the trend of loosening the company law.
