公司设立制度中专利权出资法律问题研究

【摘要】：公司设立制度中的专利权出资,即专利权的资本化过程。专利权作为一种财产权,以出资方式换取公司的股权,所有权发生转移,股东获取的是公司的收益权、决策权、选择管理者权利等等。以专利权出资参与公司的设立是一种技术资产转化为产业资本的重要形式,是知识经济时代的内在要求,是知识产权资本运营的重要组成部分。专利权作为一种无形资产,具有很多不同于有形资产的特征,其出资过程更具复杂性。与西方发达资本主义国家成熟的专利权出资制度相比,我国有关专利权出资制度的内容规定较少,其操作方式及相关程序的规定仍存在不完善之处,给专利权的资本化运作带来了不少技术和制度层面上的难题。笔者主要运用了文献分析法、比较分析法、理论和实践相结合的方法系统地研究公司法、专利法、无形资产评估学等相关理论,并结合西方发达资本主义国家较为完整成熟的立法、学说和国内当前立法现状,集中对公司设立制度中专利权出资法律问题所涉及的法律关系、法律责任、专利权价值评估问题、专利部分权能出资问题、专利无效问题、专利权出资的适格性问题等进行了一一论证,在此基础上,结合我国的具体情况,对公司设立制度中专利权出资制度的修改和完善提出建议,以期使我国的专利权出资制度更为科学、规范、合理,进而为我国专利权资本化制度的构建做出贡献。
[Abstract]:The capital contribution of patent right in the system of company establishment is the capitalization process of patent right. As a kind of property right, the patent right gains the equity of the company by the way of capital contribution, the ownership is transferred, the shareholders obtain the right of profit, the right of decision, the right of choosing the manager, and so on. Taking part in the establishment of a company with patent contribution is an important form of transforming technical assets into industrial capital, is the inherent requirement of the era of knowledge economy, and is an important part of the operation of intellectual property capital. Patent right, as an intangible asset, has many characteristics different from tangible assets, and its investment process is more complicated. Compared with the mature patent investment system of the developed capitalist countries in the West, the contents of the patent investment system in our country are less, and there are still some imperfections in its operation mode and related procedures. The capitalization of patent rights has brought a lot of technical and institutional problems. The author mainly uses the methods of literature analysis, comparative analysis, theory and practice to systematically study relevant theories, such as company law, patent law, intangible assets evaluation and so on. In combination with the relatively complete and mature legislation, doctrine and current domestic legislation in the western developed capitalist countries, it focuses on the legal relationship and legal responsibility involved in the legal issues of patent investment in the company establishment system. The evaluation of patent value, the power of patent contribution, the invalidation of patent, the appropriateness of patent contribution, and so on, are discussed one by one. On this basis, combined with the specific situation of our country, This paper puts forward some suggestions on the modification and perfection of the patent investment system in the company establishment system in order to make the patent investment system in our country more scientific, standardized and reasonable, thus contributing to the construction of the patent capitalization system in our country.
