美德日韩企业集团的治理特点

【摘要】:正企业集团是国家经济发展的支柱。企业集团的长期竞争优势,必须建立在有效合理的公司治理基础之上。由于经济、法律和文化等方面的差异以及企业集团历史演进轨迹的不同,不同国家和地区的集团治理是有差异的。从法系上看,集团治理模式主要有以美国为代表的美英模式和以德国为代表的大陆模式。日本的公司法原则上属于大陆法系,战后又吸收了英美法系许多内容,因此其集团治理模式介于大陆模式和美英模式之间。近几年来,随着东亚经济的崛起和相关治理理论的兴起,东南亚家族企业集团治理模式也开始在国际上被广为关注。通过对美德日韩等国企业集团治理特征的比较,可以发现企业集团治理问题的症结所在,借鉴经验,吸取教训,从而有效地解决我国企业集团的公司治理问题。
[Abstract]:The enterprise group is the pillar of national economic development. The long-term competitive advantage of enterprise groups must be based on effective and reasonable corporate governance. Because of the differences in economy, law and culture, as well as in the historical evolution of enterprise groups, there are differences in group governance in different countries and regions. From the perspective of legal system, the group governance model mainly includes the American and British models represented by the United States and the continental model represented by Germany. Japanese company law belongs to the civil law system in principle and absorbed many contents of Anglo-American law system after the war, so its group governance model is between the continental model and the American and British model. In recent years, with the rise of East Asian economy and the rise of related governance theories, the governance model of family business group in Southeast Asia has been paid more and more attention in the world. By comparing the governance characteristics of enterprise groups in Germany, Japan and South Korea, we can find out the crux of corporate group governance problems, learn from experience and learn lessons, so as to effectively solve the corporate governance problems of enterprise groups in our country.
