公司高管对公司的民事责任研究

【摘要】:公司高级管理人员在现代公司的经营中扮演着极其重要的角色,公司高级管理人员的责任问题也逐渐成为公司治理的核心问题之一。公司高级管理人员民事责任制度是公司高级管理人员责任制度的重要组成部分,与其刑事责任和行政责任相辅相成、不可替代。公司高级管理人员是公司雇员,因与公司之间的契约而形成了委托代理的关系,故公司高级管理人员的民事责任是因公司高级管理人员违反其对公司所负之义务而应承担的不利性后果,也即公司高级管理人员在执行业务过程中违反法律规定或者与公司之契约给公司利益造成损失而应承担的—种赔偿责任。 我国公司高级管理人员对公司的民事责任制度相对还比较落后,通常情况下,只要行为人对其行为具有主观过错、违反法定义务、造成损害结果,且损害结果与其行为之间具有因果关系就可以确定其民事责任成立。根据公司法,我国公司高级管理人员对公司的民事责任的承担方式大致可分为停止侵害、利益归入、返还财产、赔偿损失等。 对于公司高级管理人员对公司的民事责任的追究可由公司进行,也可以由股东代为进行。公司对高级管理人员民事责任的追究主要表现为股东会、董事会以及监事会对公司高管的追究以及股东通过派生诉讼对公司高级管理人员追责。 但是,我国公司高级管理人员对公司的民事责任制度还存在着许多缺陷,表现在司法审查的程序缺失、民事责任具体范围的不确定、民事责任承担的现实困难以及实际运作中存在利益冲突等方面。针对这些缺陷,我国应当加快股东派生诉讼制度的完善,引入商业判断规则,积极促进我国公司高级管理人员责任险制度的法律化以及约束激励机制的法律化,才能有效解决我国公司高级管理人员民事责任制度中存在的问题,构建更为有效的公司治理机制。
[Abstract]:Corporate senior managers play an extremely important role in the management of modern companies, and the responsibility of corporate senior managers has gradually become one of the core issues of corporate governance. The civil liability system of senior managers is an important part of corporate senior managers' liability system, which can not be replaced by its criminal responsibility and administrative responsibility. The senior management of the company is an employee of the company and forms a principal-agent relationship as a result of the contract with the company. Therefore, the civil liability of the senior managers of the company is the adverse consequence that the senior managers of the company should bear because they violate their obligations to the company, In other words, the senior management of the company should be liable for the loss of the company's interests in the course of carrying out the business in violation of the legal regulations or the contract with the company. The civil liability system of the senior managers of our company is relatively backward. Usually, as long as the actor has subjective fault to his behavior and violates the legal obligation, it will result in damage. And the causality between the result of damage and its behavior can confirm its civil liability. According to the Company Law, the civil liability of the senior managers of our company can be divided into four types: stop infringement, benefit subsumption, return property, compensate for loss and so on. The civil liability of the company's senior managers can be investigated by the company or by the shareholders. The civil liability of senior managers is mainly investigated by shareholders' meeting, the board of directors and the board of supervisors of the company and shareholders through derivative litigation to pursue the senior management of the company. However, there are still many defects in the civil liability system of our company's senior managers, which are manifested in the lack of judicial review procedure and the uncertainty of the specific scope of civil liability. The practical difficulties of civil liability and the conflict of interest in actual operation. In view of these defects, our country should speed up the perfection of shareholder derivative litigation system, introduce commercial judgment rules, and actively promote the legalization of liability insurance system for senior managers and the legalization of restraint incentive mechanism. Only then can we effectively solve the problems existing in the civil liability system of senior managers in our country and construct a more effective corporate governance mechanism.
