公司资本主义原则与我国公司法

【摘要】：公司资本被认为是公司法律制度中最重要的制度,我国公司法对公司资本制度虽然作出了较为明确的规定,但是,此种规定不符合现代公司法的发展潮流。废除资本确定主义原则,确立资本授权主义原则是我国公司法未来发展的方向。因为公司资本授权主义原则可以起到便利公司经营、加强公司董事会的核心法律地位以及促进商事经济繁荣的作用。
[Abstract]:The company capital is regarded as the most important system in the company law system. Although the company law of our country has made the relatively clear stipulation to the company capital system, this kind of regulation does not accord with the development trend of the modern company law. Abolishing the principle of capital determinism and establishing the principle of capital authoritarianism is the direction of the future development of our company law. Because the principle of corporate capital authoritarianism can facilitate the operation of the company, strengthen the core legal status of the board of directors and promote the prosperity of commercial economy.
