独立董事制度施行困境与重构再研究

【摘要】： 独立董事制度作为一项具有中国特色的外来制度,其主要目标是改善我国上市公司中“一股独大”的局面,监督制衡控股股东和内部控制人,完善我国的公司治理结构。然而在现行实践中,独立董事制度仍然存在许多问题,导致其未能充分发挥应有的作用。2005年修订的新《公司法》正式确立了独立董事制度在我国的法律地位,在此背景下,进一步研究解决独立董事制度发展中出现的困难与问题具有重大意义。本文针对独立董事制度在公司治理中出现的突出问题,结合立法实践,对影响独立董事制度功能发挥的主要因素进行了相应的分析,探讨并提出了解决问题的对策。本文主要分为四个部分：第一部分是对独立董事制度的总体概述,包括独立董事的涵义、功能、制度起源和发展,以及对独立董事制度的现行评价,并提出了我国建设独立董事制度的必要性；第二部分先从制度本身入手,探究了独立董事内部机制中存在的问题,包括独立董事的独立性、独立董事承担的权利、义务和责任、独立董事的选任以及独立董事的激励机制；第三部分着眼于独立董事制度施行的外部环境问题,主要探讨了独立董事与监事会之间的关系及二者并存需要解决的问题；最后一部分针对前文提出的独立董事制度存在的问题,从内部机制和外部环境两个大的角度,分别提出了完善独立董事制度的对策。
[Abstract]:As an external system with Chinese characteristics, the main goal of the independent director system is to improve the situation of "one share alone" in the listed companies in China, to supervise and balance the controlling shareholders and internal controllers, and to perfect the corporate governance structure of our country. However, in the current practice, there are still many problems in the independent director system, which leads to its failure to give full play to its due role. The new Company Law revised in 2005 formally established the legal status of the independent director system in our country. It is of great significance to further study and solve the difficulties and problems in the development of independent director system. Aiming at the prominent problems of independent director system in corporate governance and combining with legislative practice, this paper analyzes the main factors that affect the function of independent director system, and puts forward some countermeasures to solve the problem. This paper is divided into four parts: the first part is a general overview of the independent director system, including the meaning, function, origin and development of the independent director system, as well as the current evaluation of the independent director system. The second part explores the problems existing in the internal mechanism of independent directors, including the independence of independent directors, the rights, obligations and responsibilities of independent directors. The third part focuses on the external environment of the implementation of the independent director system, mainly discusses the relationship between the independent director and the board of supervisors and the problems that need to be solved. In the last part, the author puts forward the countermeasures to perfect the independent director system from the two aspects of internal mechanism and external environment.
