职工参与制度的法律研究

【摘要】: 传统公司法理论认为,资本的所有者——股东享有公司的绝对控制权,但是,随着公司规模的不断扩大,公司承担着越来越多的社会责任,公司治理理论受到了利益相关者理论的影响,劳动者介入公司治理已经成为了大势所趋。在这种背景下,非常有必要重新反思和认识职工参与企业经营管理的制度,进而从法律上进一步完善我国职工参与公司治理的制度。 2005年10月我国对《公司法》进行了重大修订,增加了公司的社会责任条款,完善了关于职工权益保护和职工参与公司治理的制度设计,然而对劳动者保护程度的具体规制因公司所有制的不同而有所差异,有关职工参与的法律规定显得非常笼统,不够具体。劳动者这一公司最基本的组成要素作为利益相关者的公司法地位尚未确立。笔者发现,当前关于职工参与制度的研究多见于管理学或者经济学学科,主要是从公司经济利益最大化的角度提出职工参与的重要性,很少从劳动者权益角度出发探索职工参与制度的实现途径,职工参与的法律保障非常欠缺。职工参与是一个复杂的系统,仅仅从管理学或经济学角度出发无法将其制度化,规范化,法律化。本文通过分析人力资本在公司治理中的重要性,基于“劳资同权,劳资平等”的理论基础,对美国和德国的职工参与治理模式进行了比较分析,指出当前我国职工参与制度存在的缺陷并提出相关建议。 具体而言,本文共分为五个部分(含结论),内容如下: 第一部分主要阐述了职工参与制度的基本概念和职工参与的几种方式,简要说明职工参与制度的概况;第二部分从管理学,政治经济学,社会学等多个角度阐述了职工参与制度存在和发展的理论基础;第三部分比较分析了美国、德国当前世界上两种比较有代表性的职工参与模式,希望从中汲取有益经验,推动我国职工参与的发展;第四部分指出当前我国职工参与制度存在的主要问题,同时在立足我国国情的基础上,通过学习国外的先进经验提出针对性的完善建议;第五部分,总结我国职工参与制度的缺陷,提出建立和完善我国职工参与制度的根本方式在于建立现代企业制度。
[Abstract]:The traditional company law theory holds that the owners of capital-shareholders enjoy the absolute control of the company, but with the continuous expansion of the size of the company, the company is assuming more and more social responsibility. The theory of corporate governance has been influenced by stakeholder theory, and the intervention of workers in corporate governance has become the trend of the times. Against this background, it is very necessary to rethink and understand the system in which workers and staff participate in the operation and management of enterprises. In October 2005, China made a major amendment to the Company Law, which added the social responsibility clause of the company. The system design on the protection of workers' rights and interests and the participation of workers in corporate governance has been improved. However, the specific regulations on the degree of protection of workers vary according to the different ownership of the company, and the legal provisions on the participation of workers appear to be very general. It's not specific enough. Laborer, the most basic component of the company, has not been established as the company law status of the stakeholders. The author finds that the current research on employee participation system is mostly in the subject of management or economics, mainly from the point of view of maximizing the economic benefits of the company, and puts forward the importance of employee participation. Rarely from the perspective of workers' rights and interests to explore the way to achieve the system of employee participation, the legal protection of employee participation is very inadequate. Employee participation is a complex system, which can not be institutionalized, standardized and legalized just from the angle of management or economics. By analyzing the importance of human capital in corporate governance, and based on the theoretical basis of "equal rights of labor and capital", this paper makes a comparative analysis of the mode of employee participation in governance in the United States and Germany. This paper points out the defects of the employee participation system in China and puts forward some relevant suggestions. Specifically, this paper is divided into five parts (including conclusions, the contents are as follows: the first part mainly expounds the basic concept of employee participation system and several ways of employee participation, briefly explains the general situation of employee participation system; The second part expounds the theoretical basis of the existence and development of employee participation system from the perspectives of management, political economy, sociology, etc. The third part compares and analyzes the United States. In Germany, there are two representative models of employee participation in the world, hoping to draw useful experience from them and to promote the development of employee participation in our country. The fourth part points out the main problems existing in the current system of employee participation in our country. At the same time, on the basis of China's national conditions, through the study of foreign advanced experience to put forward targeted suggestions; part five, summed up the defects of the system of employee participation in our country. The fundamental way to establish and perfect the system of employee participation in our country lies in the establishment of modern enterprise system.
