“设立中公司”用工行为法律规制研究

【摘要】： 身兼成立公司重任的“设立中公司”,逐步完善具备公司法规定的法人的各项条件的过程中,必然会与他人产生各种法律关系,实践中会产生比较复杂的劳动用工争议问题。研究“设立中公司”用工行为的法律规制,有利于维护当事人的权益、交易安全及保持社会经济秩序的稳定,但我国的公司立法、劳动立法均对“设立中公司”用工行为的含义和“设立中公司”用工行为性质、“设立中公司”用工行为的法律后果等没有明确的规定。本文对上述问题作了理论上的粗浅分析,并分析了我国现行法律对“设立中公司”用工行为的规制现状及制度缺漏,同时对我国“设立中公司”用工行为的法律规制设想提出了一些见解。
[Abstract]:In the process of gradually perfecting the conditions of legal person, which is the important task of establishing a company, it will inevitably produce all kinds of legal relations with others and produce more complicated labor and employment disputes in practice. The study on the legal regulation of the employment behavior of "establishing a company" is beneficial to the maintenance of the rights and interests of the parties, the safety of transactions and the stability of social and economic order, but the legislation of the company in our country, The labor legislation has no clear provisions on the meaning of the employment behavior of "established company", the nature of the employment behavior of "established company" and the legal consequences of the employment act of "established company". In this paper, the author makes a theoretical analysis of the above problems, and analyzes the current situation of the regulation of the employment behavior of the "established company" in China's current laws and the deficiencies of the system. At the same time, the author puts forward some opinions on the legal regulation of the employment behavior of the established company in our country.
