【摘要】:现代企业制度是国有企业改革的方向,其特征是“产权明晰、政企分开、管理科学”,其组织形式就是公司制,国有企业改革就是对国有企业进行规范的公司制改造。但是在改制过程中,法人治理机制的形成会存在较多障碍,有些具体问题需要妥善处理。 对国有企业改制有多种理解:改变企业形态,改变企业股权结构,改变企业的基本制度。改变企业形态即改变规范企业资本组织关系、治理结构的企业法律形式;改变企业股权结构即引入新股东或改变企业股权比例,企业法律形式变化有时是企业股权变化的前提;更广义的企业改制还包括企业内部制度的广泛变革,如改变经营者激励制度、劳动工资制度等。这些方面与企业改制密切相关,是进行企业改制时必须关注的重要问题。国有企业改制是一场广泛而深刻的经济变革,改制中要充分考虑相关利益主体的利益,严格按照企业改制的基本程序操作,并注意符合国家有关国企改制的政策方针、国有资产管理的相关规定,遵循现行《公司法》、《证券法》、《合同法》等法律规定。 建立现代企业制度是当前的理论热点、实践的重点和难点,我国的企业改革基本上是在实践探索的基础上发展的,很多问题都有待于进行深入的研究。加强这一问题的研究,具有很强的理论意义和现实意义。 因此本文选择中国水电基础局有限公司为研究对象,对改制中的要素进行逐一分析,通过对这些分析和展望,以期对同类的国有企业改制有一定的借鉴。文章共分五个部分:第一章绪论,简要分析选题的背景和意义、文章的研究内容和框架结构、以及研究方法等。第二章对国有企业改制的理论与实践进行了阐述,对企业改制所依赖的经济社会背景、资源基础、政策环境及问题进行了分析。第三章简要介绍了该公司的概况,对公司改制实施的情况及存在的问题进行了分析。第四章针对该公司改制出现的问题提出了解决方案。第五章对国有企业改制的前景与展望进行了阐述,并作出了结论要点。
[Abstract]:The modern enterprise system is the direction of the state-owned enterprise reform, its characteristic is "the property right is clear, the government and the enterprise separate, the management science", its organization form is the company system, the state-owned enterprise reform is carries on the standard enterprise system transformation to the state-owned enterprise. However, in the process of reform, there are many obstacles to the formation of corporate governance mechanism, and some specific problems need to be properly dealt with. There are many understandings on the reform of state-owned enterprises: changing the form of enterprises, changing the ownership structure of enterprises, and changing the basic system of enterprises. Changing the form of enterprise is to change the legal form of enterprise capital organization and governance structure, to change the ownership structure of enterprise, to introduce new shareholders or to change the proportion of enterprise equity, and to change the legal form of enterprise is the premise of the change of enterprise equity. The broader enterprise reform also includes a wide range of changes in the enterprise internal system, such as changing the manager incentive system, labor wage system and so on. These aspects are closely related to the reform of enterprises, which must be paid attention to. The reform of state-owned enterprises is a broad and profound economic transformation. In the process of reform, the interests of relevant stakeholders should be fully taken into account, the basic procedures of enterprise restructuring should be strictly followed, and attention should be paid to keeping with the policies and guidelines of the state concerning the reform of state-owned enterprises. The relevant regulations on the management of state-owned assets follow the existing company law, securities law and contract law. The establishment of modern enterprise system is a hot topic in theory, the key point and difficulty in practice. The enterprise reform in our country is basically developed on the basis of practice and exploration, and many problems need to be deeply studied. It is of great theoretical and practical significance to strengthen the research on this issue. Therefore, this paper chooses China Hydropower Foundation Bureau Co., Ltd. as the research object, carries on the analysis one by one to the reform essential factor, through to these analysis and the prospect, hoped to have the certain reference to the similar state-owned enterprise reform. The article is divided into five parts: the first chapter is an introduction, briefly analyzes the background and significance of the topic, the research content and frame structure of the article, as well as the research methods. The second chapter expounds the theory and practice of SOE reform, and analyzes the economic and social background, resource basis, policy environment and problems on which SOE reform depends. The third chapter briefly introduces the general situation of the company, analyzes the implementation of the company's restructuring and existing problems. The fourth chapter puts forward the solutions to the problems in the reform of the company. The fifth chapter expounds the prospect and prospect of the reform of state-owned enterprises, and makes some conclusions.
