独立董事责任保险制度研究

【摘要】：独立董事在完善公司治理结构，维护上市公司尤其是中小股东的合法权益方面发挥着日益重要的作用。近年来，在各国公司立法不断强化董事义务与责任的背景下，如何分散独立董事的法律责任和风险，提高独立董事履职的积极性，成为公司治理过程中关注的重要问题。在此背景下，独立董事责任保险制度的构建具有十分重要的理论和现实意义。本文从我国独立董事的现状出发，结合我国相关法律规定，对独立董事的责任体系做了梳理，指出独立董事面临的特殊责任与风险。然后重点分析了独立董事责任保险制度在我国发展缓慢的法律和制度障碍。最后立足与我国现有法律制度的协调以及公司治理的实践，对独立董事责任保险具体制度和内容进行了构建。本文的目的就是通过独立董事责任保险制度的法律梳理和建议，，为推动我国公司治理的完善和独立董事责任保险制度的完善作一些微薄的贡献。
[Abstract]:Independent directors play an increasingly important role in perfecting the corporate governance structure and safeguarding the legitimate rights and interests of listed companies, especially minority shareholders. In recent years, under the background of strengthening directors' obligations and responsibilities in the company legislation of various countries, how to disperse the legal responsibility and risk of independent directors and improve the enthusiasm of independent directors to carry out their duties has become an important issue of concern in the process of corporate governance. In this context, the construction of independent director liability insurance system has very important theoretical and practical significance. Starting from the current situation of independent directors in China and combining the relevant laws and regulations of our country, this paper combs the liability system of independent directors and points out the special responsibilities and risks faced by independent directors. Then it analyzes the legal and institutional obstacles of the development of the independent director liability insurance system in China. Finally, based on the coordination with the existing legal system of our country and the practice of corporate governance, the concrete system and content of the independent director's liability insurance are constructed. The purpose of this paper is to make some modest contributions to the improvement of corporate governance and the perfection of independent director liability insurance system through the legal arrangement and suggestions of the independent director liability insurance system.
