美国公司法上的商业判断规则和董事义务剖析

【摘要】：通过对美国公司治理结构———集中管理模式的分析,指出了董事行使公司实质性的管理权是美国公司法上一大重要特征。为维护董事行使该管理权的独立判断力和执行力,刺激董事经营和管理公司的积极性,保护董事在一定条件下免受股东的诉累,普通法上发展了170多年的商业判断规则,在此发挥了无比重要的作用。在商业判断规则下,本文探讨了美国公司法上关于董事信托义务———包括注意义务和忠实义务的内容和实质,以期为我国落实公司法董事义务的规定,提供一些参考。
[Abstract]:Through the analysis of American corporate governance structure-centralized management mode, it is pointed out that it is an important feature of American company law that directors exercise the substantive management power of the company. In order to maintain the independent judgment and execution of the management power of the directors, stimulate the enthusiasm of the directors to run and manage the company, and protect the directors from shareholders' litigation under certain conditions, the common law has developed commercial judgment rules for more than 170 years. Played an extremely important role here. Under the rules of commercial judgment, this paper probes into the contents and essence of directors' fiduciary obligations in American company law, including the duty of care and the obligation of loyalty, in order to provide some references for our country to carry out the obligations of directors in company law.
