公司社会责任法律实现机制

【摘要】：人们对公司的认识和期待也发生了变化,公司必须履行社会责任已经成为社会各界的共识。时至今日,公司社会责任在各国的展开已是如火如荼,全球很多国家已通过立法或者判例将公司社会责任法制化。但我国对公司社会责任认识较之于西方却晚的多。随着,我国各界对公司社会责任深入持久的不懈研究,公司应承担社会责任及其法制化已成为必然。我国新《公司法》第5条也已明确规定,公司必须承担社会责任。但由于《公司法》没有对公司社会责任的内涵及其性质作出明确的规定,因此在理论界对公司社会责任的内涵及其性质的界定产生了巨大的争议。针对以上问题,本文试图采用历史分析方法、语义分析方法、比较分析方法、价值分析的方法、实证分析方法以及规范分析等方法从公司社会责任的历史沿革、公司社会责任定位等各个方面,来明确公司社会责任的内涵以及性质,而且在对构建我国公司社会责任立法和必要性进行分析的基础上,结合我国和国外有关公司社会责任立法状况,对我国公司社会责任的立法构建及其完善,提出了相应的建议。本文主要分为四部分第一部分主要借助于对公司社会责任理论的起源,公司社会责任理论在国外和我国发展状况的分析,为公司社会责任性质的确定和公司社会责任内涵的揭示奠定坚实的理论基础。第二部分主要通过对公司社会责任理论基础的阐述,为我国公司社会责任法律机制的完善提供理论上的支撑。随着公司影响力的增强,现代社会对公司组织的期待,已有纯粹是经济组织的看法,转为兼具有社会性使命,因此公司应该调整其角色,负起社会责任来,否则,有可能危及公司存在的合法性。第三部分主要是对主要西方资本主义国家的公司社会责任立法状况进行比较,从而揭示出公司社会责任世界立法的趋势,进而为我国公司社会责任的立法构建和完善提供有力的借鉴。第四部分主要通过借鉴西方发达资本主义国家关于公司社会责任的理论和实践,并结合我国国情,对我国公司社会责任立法的构建和完善提出一些建议。
[Abstract]:People's understanding and expectation of the company have also changed. It has become a consensus that the company must fulfill its social responsibility. Nowadays, the development of corporate social responsibility in various countries has been in full swing, many countries in the world have passed legislation or jurisprudence to legalize corporate social responsibility. However, China's understanding of corporate social responsibility is much later than that in the West. With the persistent research on corporate social responsibility, it is inevitable that the company should bear the social responsibility and legalize it. Article 5 of the new Company Law of our country has also clearly stipulated that the company must bear social responsibility. However, the connotation and nature of corporate social responsibility have not been clearly defined in the Company Law, so there is a great controversy in the theoretical circle on the definition of the connotation and nature of corporate social responsibility. In view of the above problems, this paper attempts to adopt historical analysis, semantic analysis, comparative analysis, value analysis, empirical analysis and normative analysis from the historical evolution of corporate social responsibility. In order to clarify the connotation and nature of corporate social responsibility, and on the basis of the analysis of the legislation and necessity of corporate social responsibility in China, Based on the legislative situation of corporate social responsibility in China and abroad, this paper puts forward some suggestions on the legislative construction and perfection of corporate social responsibility in China. This paper is divided into four parts. The first part is mainly based on the analysis of the origin of corporate social responsibility theory, the development of corporate social responsibility theory in foreign countries and China. It lays a solid theoretical foundation for determining the nature of corporate social responsibility and revealing the connotation of corporate social responsibility. The second part provides theoretical support for the perfection of the legal mechanism of corporate social responsibility through the elaboration of the theoretical basis of corporate social responsibility. With the increasing influence of the company, the expectation of the modern society for the organization of the company has become purely the view of the economic organization, and it has turned into a social mission. Therefore, the company should adjust its role and assume social responsibility. Otherwise, There is a risk of endangering the legitimacy of the company's existence. The third part mainly compares the legislation status of corporate social responsibility in the major western capitalist countries, thus revealing the trend of the world legislation on corporate social responsibility. Then it can provide reference for the legislative construction and perfection of corporate social responsibility in our country. The fourth part puts forward some suggestions on the construction and perfection of corporate social responsibility legislation by referring to the theory and practice of corporate social responsibility in western developed capitalist countries and combining with the national conditions of our country.
