论禁止篡夺公司机会规则
[Abstract]:The rules of the Company ' s opportunity are the important contents of the directors ' faithful obligations . The rules are derived from the Anglo - American law countries , which gradually form and develop on the basis of a large number of judicial case tests over a hundred years , and tend to mature and widely used in the countries of the world . In recent years , the state of the Continental Law , such as Germany , Japan , Korea and other countries , will prohibit the usurpation of the Company ' s business opportunities . In recent years , the directors and senior management personnel may not " make use of their functions to gain business opportunities for themselves or others " . Although the rules have been implemented in our country for seven years , there are a series of problems in both theory and practice .
How to determine the behavior of directors and senior management personnel belongs to the regulation scope of prohibiting the usurpation of the Company ' s opportunity rules ;
Whether it belongs to the Company ' s opportunity , the directors of the Company and their senior management personnel shall not be used in any circumstances , etc . These issues not only bring certain difficulties to the judicial practice of our country , but also provide a more vague guideline for the behavior of the people .
In this paper , the author compares the case and the theoretical research of " Company Opportunity " with the specific national conditions of our country by means of comparative analysis , so as to explore the specific path of the application of our company ' s opportunity .
On the other hand , the directors and senior management personnel of the Company shall provide clear codes of conduct and regulate their respective behaviors .
This paper analyzes the origin of the company ' s opportunity rules from the perspective of conflict of interest , then compares it with self - transaction , competition prohibition rule , encroachment company ' s property , analyzes the specific connotation of the company ' s opportunity rules by analyzing their differences .
