郑州市商事登记制度改革研究

【摘要】：随着我国经济社会改革进入深水区,之前一直沿用的商事登记制度已经不能完全适应甚至阻碍了新形势下我国社会主义市场经济的发展。对现行的商事登记制度进行改革,使之符合我国社会主义市场经济的发展规律,着力降低市场准入门槛,简化商事登记程序,切实减轻企业负担,降低社会交易成本,对于坚持社会主义市场经济改革方向、充分发挥市场机制基础性作用,优化产业结构调整与资源配置,进一步发挥社会主义市场经济制度的优越性具有极其重要的意义。随着《中华人民共和国公司法》的修改到国务院《注册资本登记制度改革方案》的印发,全国性的商事登记制度改革拉开了序幕。自2014年3月1日起,商事登记制度改革在郑州市范围内也如火如荼地开展起来。对整体改革现状分析,可以看出改革持续稳步推进,并取得了很大成效,但在改革的实际过程中还存在着注册资本认缴制存在漏洞,“证照”未能完全衔接,审查标准不统一,企业信用信息公示数据平台建设滞后等诸多问题。作为我国中部地区重要的省会城市,郑州市在商事登记制度改革中与国内大多数地区存在着一些相同或相似的问题,具有很强的代表性。通过对改革过程中存在问题进行分析,得出了:社会公众与政府部门对改革还存在一定认识上的偏差、政府部门间行政壁垒难以打破以及利益博弈现象严重、商事登记相关法律法规支撑不足、信息共享与联动存在障碍等都是现阶段改革推进过程中的主要制约因素。通过采取文献法和对比分析法,对国内外关于商事登记制度研究相关理论成果、国内外商事登记制度及相关改革经验进行研究,借鉴其先进经验,为郑州市商事登记制度改革指明了方向。在研究的基础上提出了几点具有针对性的建议:实现信息共享,健全信息联动机制;加快全程电子化登记,提高登记效率;重视事后监管,健全退出机制;加强地方立法支撑,规范商事登记机构建设;探索制度创新,助推改革深化等。为郑州市的商事登记制度改革进一步推进提供了有价值的参考,具有一定借鉴意义。
[Abstract]:With the economic and social reform of our country entering the deep water area, the commercial registration system which has been used all along has been unable to fully adapt to and even hinder the development of our socialist market economy under the new situation. To reform the current commercial registration system to conform to the laws of the development of our socialist market economy, to reduce the threshold of market access, to simplify the procedures for commercial registration, to effectively lighten the burden on enterprises, and to reduce social transaction costs, It is of great significance for us to persist in the direction of socialist market economy reform, give full play to the fundamental role of market mechanism, optimize the adjustment of industrial structure and the allocation of resources, and further give play to the superiority of socialist market economy system. With the revision of the Company Law of the people's Republic of China and the publication of the Reform Plan of the registered Capital Registration system of the State Council, the reform of the national commercial registration system began. Since March 1, 2014, the reform of commercial registration system has been carried out in Zhengzhou. From the analysis of the present situation of the overall reform, we can see that the reform continues to advance steadily and has made great achievements. However, in the actual process of the reform, there are still loopholes in the system of registered capital subscription, the "certificate of certification" is not fully connected, and the standard of examination is not uniform. Enterprise credit information publication data platform construction lags behind and many other problems. As an important provincial capital city in the central part of our country, Zhengzhou City has some similar or similar problems in the reform of commercial registration system, which has strong representativeness. Through the analysis of the existing problems in the process of reform, it is concluded that there is still a certain deviation in the understanding of the reform between the public and the government departments, the administrative barriers between government departments are difficult to break, and the phenomenon of interest game is serious. Insufficient support of laws and regulations related to commercial registration and obstacles to information sharing and linkage are the main restrictive factors in the current reform process. By using the method of literature and comparative analysis, this paper studies the relevant theoretical achievements, domestic and foreign commercial registration system and relevant reform experience, and draws lessons from its advanced experience. It points out the direction for the reform of commercial registration system in Zhengzhou. On the basis of the research, some suggestions are put forward: to realize the information sharing, to perfect the information linkage mechanism, to speed up the whole process of electronic registration, to improve the registration efficiency, to attach importance to the ex post supervision, to perfect the exit mechanism, to strengthen the support of local legislation. To standardize the construction of commercial registration institutions; to explore institutional innovation; to help deepen the reform and so on. It provides valuable reference for the reform of commercial registration system in Zhengzhou.
