试论股份公司的权力配置

【摘要】：公司的权力配置是公司法人治理结构的主要问题与核心问题。股份公司的权力配置合理与否直接关系到股份公司能否协调、有效地运转。20世纪以来,西方股份公司的权力配置由股东大会为中心模式逐渐向董事会中心主义模式转移。我国1993年《公司法》选择了股东会中心主义这一模式,虽符合当时实际,但已不适应股份公司的发展要求。因此,在修改我国《公司法》时,建议以董事会为权力中心构建股份公司的权力结构,以促进和巩固公司制改革。
[Abstract]:The power allocation of the company is the main problem and the core problem of the corporate governance structure. Whether the power allocation of the stock company is reasonable or not is directly related to the coordination of the stock company. Since the 20th century, the power allocation of the western joint stock company has been gradually transferred from the general meeting of shareholders to the centralism of the board of directors. The "Company Law" of 1993 chose the mode of shareholders' meeting centralism. Although it was in line with the reality at that time, it could not meet the requirements of the development of joint-stock companies. Therefore, in order to promote and consolidate the reform of the corporate system, it is suggested that the board of directors should be taken as the power center to construct the power structure of the joint-stock company in order to promote and consolidate the reform of the corporate system.
