我国金融机构合并问题探讨

【摘要】：正随着我国社会主义市场经济体制的逐步建立,市场机制作用的广度及深度的不断增强,企业间的竞争会日趋激烈,适者生存的市场准则必然引致这样的结果:企业的经济效益成为衡量企业运营经济成果的重要标志,企业间的合并成为企业成长的重要手段.同样,金融体制的改革及专业银行的商业化转轨过程也必然伴随市场力量的自发作用,竞争与合并对于金融机构的成长必不可少.本文正是基于这样的思路对我国的金融机构间的合并问题作初步的探讨.一、合并的普遍意义与功能所谓合并,是指两个或两个以上的公司,为了生产经营活动的需要,通过协商,达成一致的协议,并依据我国《公司法》规定的法定程序,归并为一个公司的法律行为.合并的类型,不同的的角度有不同的分类方式,从经济学观点看,根据企业合并的动机与功能,可相应分为积极合并与消极合并两种.所谓积极合并,是指企业为企业成长的目的所发生的合并行为;而消极合并,是指以拯救陷入困境的企业并促成企业财务状况好转为目的,将濒临倒闭的企业并入财务状况较好的公司所发生的合并行为.
[Abstract]:With the gradual establishment of China's socialist market economy system and the continuous enhancement of the breadth and depth of the role of the market mechanism, the competition among enterprises will become increasingly fierce. The market criterion of survival of the fittest inevitably leads to such results: the economic benefits of enterprises become an important symbol to measure the economic achievements of enterprises, and the merger between enterprises becomes an important means for the growth of enterprises. In the same way, the reform of financial system and the commercial transition of professional banks will inevitably accompany the spontaneous role of market forces. Competition and merger are essential for the growth of financial institutions. Based on this idea, this paper makes a preliminary discussion on the merger of financial institutions in China. 1. The universal significance and function of merger means that two or more companies, in order to meet the needs of production and business activities, reach an agreed agreement through consultation, and in accordance with the statutory procedures stipulated in the Company Law of China, The act of merging into the law of a company. From the viewpoint of economics, according to the motivation and function of enterprise merger, it can be divided into two types: positive merger and negative merger. The so-called positive merger refers to the merger that occurs for the purpose of the growth of the enterprise, while the passive merger refers to the purpose of rescuing the troubled enterprise and bringing about an improvement in the financial situation of the enterprise. The merger of a failing enterprise into a company in better financial condition.
