论股份合作制企业之法律适用

【摘要】：股份合作制企业在我国现阶段依然大量存在,但是有关股份合作制企业的立法却非常匮乏。由于股份合作制企业与《公司法》所调整的公司性质并不相同,因此它们的法律适用规则也不相同,股份合作制企业不宜参照《公司法》适用。司法实践中常见的职工股东资格问题、职工离开公司后的职工股处理问题、股份合作制企业的治理结构问题、股份合作制企业的性质变更问题都需要司法机关依据股份合作制的基本性质和原理才能够作出合理公正的裁判。
[Abstract]:There are still a large number of joint-stock cooperative enterprises in China at the present stage, but the legislation on joint-stock cooperative enterprises is very scarce. Because the nature of the corporation is different between the joint-stock cooperative enterprise and the company law, the applicable rules of the law are different, so it is not suitable for the joint-stock cooperative enterprise to refer to the company law. Common problems in judicial practice, such as the qualification of workers and staff shareholders, the handling of employees' shares after the employees leave the company, and the governance structure of the joint-stock cooperative enterprises, In order to make a reasonable and fair decision, the judicial organs must base on the basic nature and principle of the joint-stock cooperative system to change the nature of the joint-stock cooperative enterprises.
