煤炭企业社会责任法律问题研究

【摘要】：煤炭企业作为高耗能、高污染、高风险的能源企业对于社会责任的承担有其自身特殊性,比其他企业相对较重。同时由于公司法规定的原则性和模糊性,我国的企业社会责任法律制度体系存在很大问题,使用法律手段促使煤炭企业履行社会责任比较困难。因此,必须建立相应的法律保障和监督机制使煤炭企业社会责任落到实处。为了使煤炭企业能够更好的履行社会责任,一方面要加快推进国有煤炭企业分离办社会职能,培育具有竞争力的市场主体；另一方面要积极督促履行社会责任失当的企业承担其应该履行的责任。研究企业社会责任理论,使之应用到煤炭企业,督促其在追求经济利益的同时,不断提高社会责任意识,抢占发展先机,更好地造福社会意义重大。本文以企业社会责任理论为依据,在广泛收集资料、集中调研的基础上,首先分析当前煤炭企业履行社会责任存在的问题和原因,对煤炭企业履行社会责任的正当性、特殊性和必要性进行阐述,明确转变经济发展方式与社会责任理念息息相关,煤炭企业长期营利目标的实现,依赖于企业社会责任承担的观念。然后探讨政府、煤炭企业和利益相关者各自的职责,通过政府的指导、企业自身意识的提高、利益相关者积极维权,促使煤炭企业积极履行社会责任。最后阐述要使煤炭企业的社会责任能够履行到位,如何建立相应的法律保障和监督机制。提出了建立法律保障机制的措施,即：明确立法目的和法律原则,建立适合我国国情的企业社会责任制度；出台《企业社会责任法》,针对煤炭行业制定企业社会责任的规范；增强相关法律规则的可操作性,便于利益相关者向司法机关提起诉讼；用契约形式来保护利益相关者的权益；建立公益诉讼法律制度。并从政策和道德两方面提出了法律外的保障机制。强调了法律层面、政府层面、社会组织和利益相关者对煤炭企业履行社会责任的监督机制。将企业社会责任宏观理论与我国煤炭企业的微观实际相结合,它不仅是本文研究的价值所在和独创之处,也是我国煤炭企业实施和谐发展战略、走可持续发展之路的必然选择。
[Abstract]:As a high energy consumption, high pollution, high risk energy enterprises, coal enterprises have their own particularity of social responsibility, which is heavier than other enterprises. At the same time, due to the principle and ambiguity of the company law, there are many problems in the legal system of corporate social responsibility in our country, so it is difficult to use legal means to promote the coal enterprises to fulfill their social responsibility. Therefore, it is necessary to establish the corresponding legal guarantee and supervision mechanism to carry out the social responsibility of coal enterprises. In order to make coal enterprises perform social responsibility better, on the one hand, it is necessary to speed up the separation of social functions of state-owned coal enterprises and cultivate competitive market subjects; On the other hand, enterprises should be urged to fulfill their social responsibility. It is of great significance to study the theory of corporate social responsibility (CSR) and apply it to coal enterprises and urge them to improve their consciousness of social responsibility while pursuing economic benefits and seize the first opportunity for development. Based on the theory of corporate social responsibility (CSR), on the basis of extensive data collection and investigation, this paper first analyzes the existing problems and reasons for coal enterprises to fulfill their social responsibility, and the legitimacy of fulfilling social responsibility for coal enterprises. The particularity and necessity are expounded, and the transformation of economic development mode is closely related to the concept of social responsibility. The realization of long-term profit goal of coal enterprises depends on the concept of corporate social responsibility. Then it discusses the respective responsibilities of the government, coal enterprises and stakeholders. Through the guidance of the government, the improvement of the enterprise's own consciousness, and the positive rights protection of the stakeholders, the coal enterprises are urged to fulfill their social responsibilities actively. Finally, this paper expounds how to establish the corresponding legal guarantee and supervision mechanism in order to fulfill the social responsibility of coal enterprises. The measures of establishing legal guarantee mechanism are put forward, that is, clear legislative purpose and legal principle, establishment of corporate social responsibility system suitable for China's national conditions, introduction of Enterprise Social responsibility Law, formulation of norms of corporate social responsibility for coal industry, and establishment of corporate social responsibility system for coal industry. Enhance the maneuverability of relevant legal rules, facilitate the stakeholders to bring a lawsuit to the judiciary; use the form of contract to protect the rights and interests of stakeholders; establish a public interest litigation legal system. And from the policy and moral two aspects of the protection mechanism outside the law. It emphasizes the supervision mechanism of social responsibility of coal enterprises at the level of law, government, social organization and stakeholders. Combining the macro theory of corporate social responsibility with the micro reality of coal enterprises in our country, it is not only the value and originality of this paper, but also the inevitable choice for our coal enterprises to carry out the strategy of harmonious development and to take the road of sustainable development.
