累积投票法律制度的完善

【摘要】：公司法上的累积投票制度是相对于直接投票制度的一种选举制度,它在国外已经存在一百多年的时间,对完善公司的治理和保护中小股东的权益发挥了很好的作用。2005年,我国修改公司法时首次在法律的层面上引进了该项制度,这对完善我国公司的治理结构,特别是完善上市公司的治理结构发挥了极其重要的作用。针对目前我国大部分上市公司国家股“一股独大”的情形下,如何保护中小股东的利益也是一种很好的探索。然而,在引进该项制度的时候直至现在,争议不断。有学者认为,累积投票制度在国外已经摒弃或者弱化,我们没有必要再步人后尘;持相反观点的学者认为,累积投票制度是否对公司的治理有利及其功能的发挥要具体问题具体分析,比如要结合一个国家经济发展的阶段来看,不能一概而论等等。作者在肯定该项制度的同时,对如何充分地发挥累积投票制度的作用提出了自己的见解,比如在借鉴国外立法和实践经验的基础上,如何完善我国的立法,制定出具体的可操作的规则,以利于更好地指导其在实践中的具体运用。此外,为了使理论不至于枯燥,作者也尽可能地结合具体案例加以分析,以期理论更加彰显,同时也便于更好地解决实际中的问题。本篇论文主要分为四章: 第一章:累积投票制度的概述。首先介绍了累积投票制度的概念以及与直接投票制度的关系。其次阐述了累积投票制度的作用。最后说明了我国引入该项制度的必要性。第二章:累积投票制度的理论分析。这也是笔者创新的一个部分。笔者坚持用马列主义经典作家有关法律方面的论述作为我国法律的指导思想,并以此为基础,来对累积投票制度在我国公司法中演变做出一定的预测。第三章:境外累积投票制度及其启示。境外的立法制度对我国的立法有很好的借鉴作用。笔者选取了三个比较典型的国家或地区,涵盖了英美法系和大陆法系。从它们国家或地区对累积投票制度采取的态度来为我国的立法提供有益的经验。第四章:我国累积投票制度的现状及其完善。这部分是文章的主体和落脚点。首先笔者分析了累积投票制度在我国立法中的现状。其次笔者结合案例来分析该项制度在实践的运用情况。最后,针对其在理论和实践上的不足,笔者提出了一些自己的见解。
[Abstract]:The cumulative voting system in company law is a kind of election system relative to the direct voting system. It has existed in foreign countries for more than 100 years, and has played a good role in perfecting corporate governance and protecting the rights and interests of minority shareholders. It is the first time that this system was introduced in the legal level when our country amended the company law, which played an extremely important role in perfecting the corporate governance structure of our country, especially in the listed company. How to protect the interests of minority shareholders is also a good exploration in view of the situation that the state shares of most listed companies in our country are "one share alone" at present. However, in the introduction of the system until now, there have been disputes. Some scholars believe that the cumulative voting system has been abandoned or weakened in foreign countries, and that there is no need for us to follow suit. Whether the cumulative voting system is beneficial to the corporate governance and its function should be analyzed concretely, for example, to combine the stage of a country's economic development, can not generalize and so on. While affirming the system, the author puts forward his own opinions on how to give full play to the role of the cumulative voting system, such as how to perfect the legislation of our country on the basis of drawing lessons from foreign legislation and practical experience. Make specific operational rules in order to better guide their practical application. In addition, in order to make the theory not boring, the author also combines the concrete case analysis as far as possible, in order to make the theory more obvious, at the same time, it is convenient to solve the problems in practice. This paper is divided into four chapters: chapter one: summary of cumulative voting system. Firstly, the concept of cumulative voting system and its relationship with direct voting system are introduced. Secondly, the role of cumulative voting system is expounded. Finally, the necessity of introducing this system in China is explained. Chapter two: theoretical analysis of cumulative voting system. This is also a part of the author's innovation. The author insists on using the legal argumentation of Marxism-Leninist classic writers as the guiding ideology of our country's law, and on this basis, makes a certain prediction of the evolution of the cumulative voting system in the company law of our country. Chapter three: overseas cumulative voting system and its enlightenment. The foreign legislation system has the very good reference function to our country's legislation. The author selects three typical countries or regions, covering the Anglo-American law system and the continental law system. From the attitude of their countries or regions to the cumulative voting system, it provides useful experience for the legislation of our country. Chapter four: the present situation and perfection of China's cumulative voting system. This part is the main body and the foothold of the article. First, the author analyzes the current situation of the cumulative voting system in China's legislation. Secondly, the author analyzes the application of the system in practice with a case study. Finally, in view of its deficiency in theory and practice, the author puts forward some opinions.
