【摘要】：尽职调查是并购交易实务中的重要环节。本文首先对尽职调查的渊源及其在并购交易中的具体应用做了介绍,然后分别从买卖法和公司法角度探讨了相关的法律责任问题。
[Abstract]:Due diligence is an important link in M & A practice. This paper first introduces the origin of due diligence and its application in M & A transactions, and then discusses the related legal liability issues from the perspective of the law of sale and purchase and the company law.
