浅谈公司董事的诚信义务及责任

【摘要】：随着市场经济的发展,公司领域中董事诚信问题越来越受到重视,但我国现行公司法对董事诚信义务还没明确规定,这导致公司实务中一些涉及公司董事诚信义务的纠纷不能得到很好的解决。因而研究公司董事的诚信义务及其责任有着重要的意义。董事诚信义务起源于美国,它与董事的忠实义务与注意义务一样,也是一种信义义务,但又不同于公司董事的注意义务和忠实义务。董事诚信义务有其独立存在的价值,即弥补公司董事注意义务与忠实义务功能的不足,从而完善公司董事问责机制,更好地维护公司及其股东的权益。董事诚信义务的出现成为我国董事义务发展的必然趋势。
[Abstract]:With the development of market economy, more and more attention has been paid to the issue of directors' good faith in the field of company, but the present company law of our country has not clearly stipulated the duty of directors' good faith. As a result, some disputes concerning the duty of good faith of company directors can not be resolved well. Therefore, it is of great significance to study the bona fide duty and responsibility of company directors. The duty of good faith of directors originates from the United States. It is also a kind of fiduciary obligation like the duty of loyalty and duty of care of directors, but it is different from the duty of care and duty of loyalty of directors of companies. The duty of good faith of directors has its independent value, that is, to make up for the deficiency of the duty of care and duty of loyalty of directors, so as to perfect the accountability mechanism of directors and better safeguard the rights and interests of the company and its shareholders. The appearance of the director's duty of good faith becomes the inevitable trend of the development of the director's duty in our country.
