从资本绝对到劳资和谐:现代公司法理念的变迁

【摘要】：资本出资人既是公司的所有者,也是公司事务的管理者、监督者和公司利益的享有者;职工作为公司的雇佣者在公司法上毫无地位,只是提供劳动的客体。这就是资本绝对的公司法理念。但随着近来劳资关系的平衡和对劳动地位的认知,职工逐渐成为公司法上的主体:他们不仅可以了解公司经营状况,还可以参与公司决策和分享公司利益。由是,形成了与资本绝对公司理念相对的人本公司法观念,直接影响着现代各国公司治理的法律结构。
[Abstract]:The capital contributor is not only the owner of the company, but also the manager of the company affairs, the supervisor and the owner of the interests of the company; the employee, as the employee of the company, has no position in the company law, but only provides the object of labor. This is the absolute concept of capital company law. However, with the balance of labor relations and the cognition of labor status, workers and staff members have gradually become the main body of company law: they can not only understand the operating situation of the company, but also participate in the decision-making and share the benefits of the company. Therefore, the humanistic company law concept, which is opposite to the absolute capital company concept, has a direct impact on the legal structure of corporate governance in modern countries.
