简论设立中的公司内外关系的处理

【摘要】：设立公司是一个过程,在公司成立之前被称为设立中的公司。传统上,设立中的公司被视为合伙或其他关系,其行为也不被视为成立后的公司行为。但现代公司法理论和实践认为,设立中的公司是具有一定或暂时权利能力的组织,其内部关系应更多按照成立后的公司来看待,以维系其组织性与独立性。在对外关系上,设立中的公司具有各种积极的和消极的权利能力,其行为可以为成立后的公司所继承。
[Abstract]:The establishment of a company is a process, known as a company in the establishment before the establishment of the company. Traditionally, an established company is regarded as a partnership or other relationship, and its conduct is not regarded as a post-establishment corporate act. However, the theory and practice of modern company law hold that the established company is an organization with certain or temporary right capacity, and its internal relations should be treated more in accordance with the established company in order to maintain its organization and independence. In foreign relations, the established company has a variety of positive and negative power capacity, and its behavior can be inherited by the established company.
