论建立我国的公司僵局临时董事救济制度

【摘要】:临时董事救济是在公司发生僵局时,由法院任命中立的第三人担任临时董事以打破董事会势均力敌的状况。该救济方式能够在保持公司继续营业的情况下,快速解决公司僵局问题,临时董事救济具有调解与仲裁相结合的功能,遗憾的是我国尚没有建立临时董事救济制度,应修改我国公司法,明确规定临时董事救济的适用条件、临时董事的权利、义务、撤职、补偿和免责等问题。
[Abstract]:Temporary director relief is to break the board's balance when a neutral third person is appointed by the court as an interim director in the event of a stalemate in the company. This relief method can solve the problem of company stalemate quickly while keeping the company in business, and the temporary director relief has the function of combining mediation and arbitration. Unfortunately, China has not set up the temporary director relief system. The company law of our country should be amended to specify the applicable conditions of relief for temporary directors, the rights, obligations, dismissal, compensation and exemption of temporary directors.
