以知识产权向企业投资的问题与对策

【摘要】：在我国现行的法律制度下,以知识产权作为投资者向企业投资的资产是具有法律依据的。以知识产权投资,其法理在于知识产权是财产性权利,知识产权具有财产属性。我国有关的企业法与公司法对以知识产权投资的规定又不统一,并且,有关企业法、公司法的规定又与知识产权的专门法律和法规的内容不统一,今后应当予以完善和统一。在实务上,以知识产权投资设立企业,存在的主要问题是知识产权所占注册资本的比例问题,,以及知识产权投资的权属变更与审核管理问题、知识产权投资的风险防范问题。这些问题,都需要通过完善有关制度来解决。
[Abstract]:Under the current legal system of our country, there is a legal basis to take intellectual property as the assets that investors invest in enterprises. To invest in intellectual property, the principle of law lies in that intellectual property is property right, and intellectual property has property attribute. The relevant enterprise law and company law of our country are not unified in the regulation of investment in intellectual property rights. Moreover, the provisions of the relevant enterprise law and company law are not unified with the contents of special laws and regulations of intellectual property rights, so they should be perfected and unified in the future. In practice, the main problems existing in the establishment of enterprises based on intellectual property investment are the ratio of intellectual property rights to registered capital, the change of ownership of intellectual property investment, the examination and management, and the risk prevention of intellectual property investment. These problems need to be solved through the improvement of the relevant system.
