试论我国公司法中的职工参与权

【摘要】:公司职工参与制度是现代企业制度的重要组成部分。由于职工参与有助于公司民主化管理的实现,各国公司法改革纷纷将其列为重点,在我国践行职工参与制度有着更多的现实需要。纵观我国现行公司法,却发现其在职工参与权的立法上存在着诸多不足。在公司中职工主要通过职工代表大会和职工董事、职工监事来行使参与权,因此,我国公司法应首先明确职工代表大会的法律地位、具体职权和与相关机构的关系,同时还应完善职工董事和职工监事的任免机制、权益保障机制等。
[Abstract]:Company employee participation system is an important part of modern enterprise system. Because the employee participation is helpful to the realization of the democratic management of the company, the reform of the company law all over the world has listed it as the focal point, and it has more realistic needs to practice the employee participation system in our country. Looking at the current company law of our country, we find that there are many deficiencies in the legislation of employee participation right. In the company, the staff and workers shall exercise their right to participate mainly through the staff and workers' congresses, their directors and supervisors. Therefore, the company law of our country should first clarify the legal status of the staff and workers' congresses, their specific functions and powers, and their relations with the relevant institutions. At the same time, we should perfect the appointment and removal mechanism of staff directors and supervisors, the protection mechanism of rights and interests, etc.
