董事忠实义务的若干问题研究

【摘要】： 公司治理的一项重要内容就是规范董事和公司的关系,使得董事可以谨慎的为公司利益行为。一方面法律赋予了董事丰富的权能,使董事可以发挥其聪明才智,将优秀的经营管理思想注入到企业的发展战略中;另一方面法律也为董事设定了相应的义务,在行使职权时必须恪尽职守、善尽义务。随着理论和实践的发展,董事义务体系日臻成熟和完善,基本形成了注意义务和忠实义务两大义务体系。本文将着重探讨董事的忠实义务,就董事忠实义务的若干理论和实践问题做一个系统的归纳和整理,并针对我国《公司法》中关于董事忠实义务规定的不足之处提出自己的意见和看法。文章共分五章,第一章为董事忠实义务的基本原理,第二章为自我交易,第三章为竞业禁止,第四章为篡夺公司机会,第五章为我国董事忠实义务的透析与完善。上述篇章结构显然无法涵盖董事忠实义务的广博内涵,就董事忠实义务具体内容的讨论也仅局限于自我交易、竞业禁止和篡夺公司机会这三种比较典型的类型。本文希望通过对这些重点环节和关键问题的详细研讨,凸显问题的主要方面,更好地解决问题。
[Abstract]:One of the important contents of corporate governance is to standardize the relationship between directors and companies, so that directors can act cautiously for the interests of the company. On the one hand, the law endows the directors with rich powers, so that the directors can give full play to their intelligence and intelligence, and inject the excellent management ideas into the development strategy of the enterprise; On the other hand, the law also sets the corresponding obligations for directors, in the exercise of functions and powers must exercise due diligence, good obligations. With the development of theory and practice, the system of director's obligation is becoming more and more mature and perfect, and the obligation of care and duty of faithfulness have basically formed. This paper will focus on the duty of loyalty of directors, and make a systematic induction and collation of some theoretical and practical problems of the duty of loyalty of directors. In view of the shortcomings of the provisions on the duty of loyalty of directors in the Company Law of our country, this paper puts forward some opinions and opinions. The article is divided into five chapters: the first chapter is the basic principle of directors' duty of loyalty, the second chapter is self-transaction, the third chapter is prohibition of competition, the fourth chapter is usurping the opportunity of the company, and the fifth chapter is the analysis and perfection of the duty of loyalty of directors in our country. Obviously, the above text structure can not cover the broad connotation of directors' duty of loyalty, and the discussion on the specific content of directors' duty of loyalty is limited to three typical types: self-transaction, prohibition of competition and usurpation of company opportunities. Through the detailed discussion of these key links and key problems, this paper hopes to highlight the main aspects of the problem and better solve the problem.
