违约可得利益赔偿的司法认定

【摘要】：我国合同法第113条规定,合同一方当事人可以向违约方主张可得利益赔偿。但是合同法中并没有明确界定什么是可得利益,也未规定可得利益赔偿的具体司法适用规则。本文从一则案例入手,从不同角度展开,论述学者们对可得利益的概念是如何界定的、以及可得利益的特征、赔偿违约可得利益的必要性。第二章从可得利益赔偿范围的限制规则,比如可预见规则、减轻损失规则等限制规则。在司法实务中,根据我国最高法院2009年颁布的关于民商事审判的指导意见,可得利益损失可以区分为转售利润损失和生产利润损失、经营利润损失等类型。第三章是从多个案例和不同角度,从上述三种不同类型的违约可得利益赔偿的相关案件中,分析可得利益损失的在司法实务中的赔偿情况,以及相关限制规则的适用情况,并发现司法实践中存在的问题以及争议;第四章中,国外对可得利益赔偿的法律规定和司法实务中,通过确立了合理确定性规则、事实与数额区分标准的划分,法官自由心证的放宽等方面的措施,降低了可得利益损失的证明标准,完善了可得利益数额的计算标准及方法。大陆法系国家对可预见性规则的具体适用前提均有明确的法律规定。笔者认为,我国可以借鉴国外的先进立法经验,完善违约可得利益赔偿相关司法制度。
[Abstract]:According to Article 113 of Chinese contract Law, a party to a contract may claim compensation for the benefit of the party in breach of contract, but the contract law does not clearly define what is the interest to be obtained. This article starts with a case, from different angles, discusses how scholars define the concept of available interests, and the characteristics of available interests. The second chapter is about the limitation rules of the scope of compensation, such as foreseeable rule, mitigation rule and so on. In judicial practice. According to the guidance on civil and commercial trial issued by the Supreme Court in 2009, the loss of interest can be divided into the loss of resale profit and the loss of production profit. The third chapter is from a number of cases and different angles, from the above three different types of violations of the interests of the relevant cases. Analyze the compensation of the loss of available interests in the judicial practice, and the application of the relevant restriction rules, and find out the problems and disputes in the judicial practice; In Chapter 4th, the foreign legal provisions and judicial practice of compensation for available interests, through the establishment of the rules of reasonable certainty, the distinction between facts and the amount of the standard of division, the relaxation of the judge's free heart evidence and other measures. The standard of proof of loss of available interest is reduced and the standard and method of calculating the amount of available benefit is perfected. The specific applicable premise of the rules of predictability in the countries of civil law system has clear legal provisions. Our country can learn from the foreign advanced legislative experience and perfect the relevant judicial system of compensation for the benefit of breach of contract.
