航次租船合同的解除问题研究

【摘要】:在航次租船合同的履行过程中,可能会出现一方违约的情形。及时解除合同,对于守约方来说不失为避免损失的一种方法。因此,航次租船合同解除权的获取对于需要解除合同的一方来说十分重要。为了研究航次租船合同的解除问题,笔者通过五个部分的内容来进行阐述分析。 第一章分析航次租船合同解除的一些基本问题。航次租船合同作为当事人协商一致的产物,在解约权问题上更加注重当事人的意思自治。只有在合同未对解约权作出明确规定的情况下,其所选择的准据法中有关解除权的规定才会对当事人产生效力。 第二章分析比较了英国和中国在合同解除原因方面的法律规定。除约定解除权解除合同外,中英两国法在有关合同法定解除的问题上存在较大的差异。中国法在判定违约能否导致合同解除的标准方面比较模糊,不如英国法那样具有可操作性。通过比较得出的结论,对十当事人在选择合同准据法上能够起到一定的指导作用。 第三章分析我国法下航次租船合同解除的情形。相比之下,承租人享有的合同解除情形要多于出租人。由于出租人在解除权方面处于劣势地位,因此需要对出租人的合法利益进行保护,以平衡双方的利益。 第四章分析航次租船合同解除后赔偿责任范围问题。解约条款情况下,承租人只有在证明出租人有违约的情况才可以向出租人索赔。法定解除情况下,根据法律的直接规定,违约方需要赔偿守约方一定的经济损失,使得当事人在合同解除后恢复到订约前的经济状态上 第五章提出了有关如何保护出租人合法权益的措施。为了避免承租人轻易解约而给出租人带来损失,出租人可以订立相关条款对其解约权予以限制。另外,由于我国《海商法》对于出租人解约权的规定存在不足之处,因此笔者提出了相关立法建议。
[Abstract]:A breach of contract may occur during the performance of the voyage charter party. The timely termination of the contract is a method of avoiding loss for the conformist. Therefore, it is very important to obtain the cancellation right of voyage charter party. In order to study the cancellation of voyage charter contract, the author expatiates and analyzes it through five parts. The first chapter analyzes some basic problems in the termination of voyage charter party. Voyage charter contract, as the result of the parties' consensus, pays more attention to the autonomy of the parties. Only if the contract does not make a clear provision on the right of rescission, the right of dissolution in the applicable law chosen by the contract will have effect on the parties. The second chapter analyzes and compares the legal provisions on the reason of termination of contract between Britain and China. In addition to the contractual right of rescission, there are great differences between China and the United Kingdom on the issue of legal rescission of the contract. Chinese law is vague in judging whether breach of contract can lead to termination of contract and is not as operable as English law. The conclusion can be used to guide the ten parties in choosing the applicable law of contract. The third chapter analyzes the termination of voyage charter party under the law of our country. By contrast, the lessee enjoys more rescission than the lessor. Because the lessor is in the inferior position in the aspect of rescission, it is necessary to protect the legal interests of the lessor in order to balance the interests of both sides. The fourth chapter analyzes the scope of liability after the termination of voyage charter party. The lessee may claim against the lessor only in case of breach of contract. In the case of legal dissolution, according to the direct provisions of the law, the breaching party needs to compensate the conformist for certain economic losses, so that the parties can restore to the economic state before the contract after the termination of the contract. The fifth chapter puts forward the measures about how to protect the legal rights and interests of the lessor. In order to avoid the lessee to terminate the contract easily and bring losses to the lessor, the lessor can make relevant clauses to restrict his right of dissolution. In addition, due to the deficiency of our country's Maritime Law about the lessor's right to rescind the contract, the author puts forward some relevant legislative suggestions.
