试论对企业托管的法律调整

【摘要】：企业托管体现为财产信托关系。外国对企业托管的调整存在信托法调整模式和合同法调整模式，前者因能使托管企业不得不接受一套制约机制而显得优于后者。我国因信托法即将出台而致使对企业托管的调整即将采取信托法调整模式。通过演绎由信托法抽象规定的信托关系各方当事人的权利义务可以相应地确定出企业托管各方当事人的权利义务。在对企业托管的设立和终止的规制方面我国海南省的做法值得肯定。
[Abstract]:The trust of the enterprise is embodied in the relationship of property trust. The adjustment mode of trust law and contract law exist in the adjustment of trust law and contract law in foreign countries. The former is superior to the latter because it can make the trust enterprise have to accept a set of restriction mechanism. Because of the coming out of trust law in our country, the adjustment of trust law is about to be adopted. By deducing the rights and obligations of the parties involved in the trust relationship, which is abstracted by the trust law, the rights and obligations of the parties involved in the enterprise trusteeship can be determined accordingly. The establishment and termination of enterprise trusteeship in Hainan Province is worthy of recognition.
