【摘要】：随着网络技术的迅猛发展和人们对于新事物愈来愈高的接受程度，网络购物近年来成为年轻一族购物的重要方式。然而，任何一种事物在不断发展的过程中都会出现各式各样的问题，网络购物也不例外。网络购物在给消费者带来诸多便利的同时，也产生了许多法律问题，本文即围绕这些问题展开论述。全文共分五个部分。第一部分概括介绍逐步完善优化的网络购物环境和网络购物的研究背景，目前学者大都将其视为电子合同中的一种类型，而本文认为有必要对其进行独立系统的研究。第二部分在分析网络购物与传统购物的区别的基础上得出网络购物的概念。认为网络购物的概念应采取广义的理解，以免将刚刚起步的网络购物的范围限制的过于狭窄，，而不利于电子商务的迅速推进。并从网络购物整个流程中选出网络购物合同中最容易出现问题的几个环节进行简要概括描述。第三部分讨论了网络购物合同中的主体问题。简要介绍网络购物合同主体的识别方法，并着重针对未成年人的网络购物缔约能力进行阐述。并提出我国应当在借鉴吸收西方国家这方面立法成果的基础之上修改《合同法》，还可以适时出台配套司法解释和行政法规，以确立关于自动电文系统的具体规则。第四部分分节介绍网络支付中消费者、商户的利益保护，以及第三方支付平台的法律地位和责任问题。认为应当加强网络支付方面的立法活动，以进一步稳固我国网络支付的安全环境，并且明确第三方支付处理平台不应对交易的合法性作担保或者承担责任。第五部分分析了网络购物发生纠纷时的解决途径。在传统的诉讼解决途径中提出协议管辖是网络购物民事司法管辖的新选择。在此基础上介绍了适应网络环境的特殊性的在线解决机制。并且从网络实名制的建立到建立全国性网络购物纠纷处理机构提出了网络购物合同纠纷防治对策。
[Abstract]:With the rapid development of network technology and the increasing acceptance of new things, online shopping has become an important way for young people to shop in recent years. However, every kind of things will appear various problems in the process of continuous development, online shopping is no exception. Online shopping brings many convenience to consumers, but also produces a lot of legal problems. The full text is divided into five parts. The first part introduces the research background of improving and optimizing the network shopping environment. At present, most scholars regard it as a kind of electronic contract, but this paper thinks it is necessary to study it independently and systematically. In the second part, based on the analysis of the difference between online shopping and traditional shopping, the concept of online shopping is obtained. It is believed that the concept of online shopping should be understood in a broad sense so as not to limit the scope of online shopping which is just beginning to be too narrow and not conducive to the rapid development of electronic commerce. And from the whole process of online shopping, select the most prone to problems in the online shopping contract for a brief description. The third part discusses the main issues in the online shopping contract. This paper briefly introduces the method of identifying the subject of online shopping contract, and focuses on the underage's contracting ability of online shopping. It is also pointed out that China should revise contract Law on the basis of drawing lessons from the legislative achievements of western countries in this respect, and may issue relevant judicial interpretation and administrative regulations in time to establish specific rules on automatic message system. The fourth part introduces the interests of consumers and merchants, and the legal status and liability of third-party payment platform. It is suggested that legislative activities in the area of network payment should be strengthened in order to further strengthen the security environment of network payment in China, and it is clear that the third-party payment processing platform should not guarantee or bear responsibility for the legality of transactions. The fifth part analyzes the solution of online shopping disputes. It is a new choice of civil jurisdiction of online shopping to put forward the jurisdiction of agreement in the traditional way of litigation settlement. On this basis, the online solution mechanism adapted to the particularity of network environment is introduced. And from the establishment of network real name system to the establishment of national online shopping dispute management organization, the paper puts forward the countermeasures of online shopping contract dispute prevention.
