优先购买权制度中“同等条件”的法律思考

【摘要】：同等条件是优先购买权行使的重要条件,同等条件的确定关系到优先购买权人能否主张优先购买权。但目前无论是在法律规范上还是理论上,对于同等条件的确定都存在一定的争议。应当主要从同等条件的标准、确定方式等内容出发,对何为同等条件加以阐释,并在研究过程中对其他学说的观点作一些探讨,以提出主要观点,即在坚持相对同等说的同时,将同一价格作为考量同等条件的主要标准,但又主张不能仅以价格作为唯一参考,必要时需要综合其他条件加以考虑。同时,要确定同一价格的确定标准,以及未能达到同等条件时的具体处理方法等。
[Abstract]:Equal condition is an important condition for the exercise of preemptive right. The determination of equal condition is related to whether the preemptive party can claim the preemptive right. However, at present, there are some disputes about the determination of the same conditions, whether in the legal norms or in theory. We should explain what is the same condition mainly from the standard of the same condition and the way of determining it, and in the course of the research, we should discuss the viewpoints of other theories in order to put forward the main point of view, that is, while insisting on the theory of relative equality, Taking the same price as the main criterion for the consideration of the same conditions, however, it is argued that the price should not be taken as the sole reference, and other conditions should be taken into account when necessary. At the same time, to determine the standard of the same price, and the specific treatment methods when the same conditions are not reached.
