【摘要】：企业登记法律制度是商法中一项重要的制度,它的主要目的在于信息公示,进而起到维护交易安全、增进交易效率以及提升企业信用的功能。我国现行企业登记法律制度是在计划经济体制下逐步建立起来的,随着我国改革开放的逐步深入和市场经济进程的不断推进,暴露出越来越多的不足之处,它已经不能适应商事现代化和国际化的要求。因此,改革企业登记法律制度已经成为法治时代的强烈需求。当前我国学术界中,对于企业登记法律制度的理论研究还没有形成完整的体系,相关的论述也不多。而实务界的质疑之声近年来越来越引起人们的关注,但却多是针对某个环节或某个问题,缺乏系统的详尽论述。因此,对这一制度无论从理论上还是实践上,均有深入研究的必要。本文在参考国Qg外文献的基础上,采用理论与实践相统一、比较分析与历史分析相结合的研究方法,通过对各国企业登记立法现状的比较分析,并结合目前我国企业登记法律制度存在的问题,提出了一些建议。全文共分为五章。第一章对企业登记法律制度的沿革进行了简要阐述,涉及到现代企业登记法律制度的由来以及我国企业登记法律制度的演进,并分析了这一制度的发展特征。第二章对企业登记法律制度的基本理论进行研究,主要分析了企业登记的性质、企业登记的目的以及企业登记的价值取向。第三章对各国企业登记立法现状进行了比较研究,涉及到企业登记
[Abstract]:The legal system of enterprise registration is an important system in the commercial law. Its main purpose is to publicize the information, and then to maintain the transaction security. The current legal system of enterprise registration in China is gradually established under the planned economy system. With the deepening of China's reform and opening up and the continuous advancement of the market economy process, more and more deficiencies have been exposed, it has been unable to adapt to the requirements of commercial modernization and internationalization. Reforming the legal system of enterprise registration has become a strong demand in the era of rule of law. At present, in the academic circles of our country, the theoretical research on the legal system of enterprise registration has not formed a complete system. The voice of doubt in practice has attracted more and more attention in recent years, but it is more and more aimed at a certain link or a problem, lack of systematic and detailed exposition. It is necessary to study this system both theoretically and practically. On the basis of referring to QG foreign documents, this paper adopts the research method of combining theory and practice, combining comparative analysis with historical analysis, and through the comparative analysis of the status quo of enterprise registration legislation in various countries. Combined with the problems existing in the legal system of enterprise registration in our country, some suggestions are put forward. The full text is divided into five chapters. The first chapter briefly describes the evolution of the legal system of enterprise registration, involving the origin of the legal system of modern enterprise registration and the evolution of the legal system of enterprise registration in China. And analyzed the development characteristic of this system. The second chapter studies the basic theory of the legal system of enterprise registration, mainly analyzes the nature of enterprise registration, the purpose of enterprise registration and the value orientation of enterprise registration. The third chapter makes a comparative study on the legislation of enterprise registration in various countries, which involves the registration of enterprises.
